To the knowledge of the Company based on the due diligence investigation it conducted in connection with the Wallbridge Transaction, (i) there are no actions, proceedings or investigations commenced, threatened, or to the knowledge of the Company pending, against or affecting the Properties or the Mining Rights (whether in any court, arbitration or similar tribunal) or before or by any Governmental Entity and (ii) Wallbridge is not subject to any judgments, orders, writs, injunctions, decrees, awards, rules, policies or regulations of any Governmental Entity which either separately or in the aggregate would have a material adverse effect on the Properties or the Mining Rights.
