Common use of Actions; Proceedings Clause in Contracts

Actions; Proceedings. No law shall have been enacted or action or proceeding before a court or any other Government Entity shall have been instituted or threatened to restrain or prohibit the transactions herein contemplated, and no Government Entity shall have taken any other action or made any request of any party hereto as a result of which Buyers reasonably and in good fxxxx xxxxx it inadvisable to proceed with the transactions hereunder.
