Actions Requiring Special Approval by Managers. Notwithstanding anything to the contrary in the foregoing provisions, and subject to the provisions of Sections 5.8 and 5.9, the Management Committee shall not have the authority to enter into any of the following actions or transactions for or on behalf of the Company without the approval of at least five-sixths (5/6) of the Management Committee, which approval of the Management Committee may be in writing or given by affirmative vote at any duly called meeting of the Management Committee, in each case in accordance with Section 5.5, provided, that the approval of any action set forth in Section 5.7(a) shall additionally require at least a majority of the disinterested Managers:
