Actions to Effect the Transactions. All actions taken by Merger Partner in connection with the consummation of the transactions contemplated hereby and all certificates, opinions, instruments and other documents required to effect the transactions contemplated hereby will be reasonably satisfactory in form and substance to Public Company.

The Company, Sellers and Buyer shall each use commercially reasonable efforts to approve or cause to be approved, and effect or cause to be effected, the Transactions, including without limitation (i) taking commercially reasonable actions necessary or appropriate to satisfy all conditions precedent and to enable the delivery at Closing of the agreements and documents contemplated by Article 7 (other than action involving the payment of funds which it or he is not otherwise obligated to make), and (ii) executing and filing such documents and certificates as may be necessary or reasonably appropriate in order to consummate the Transactions. 5.8
