Actions to Perfect Liens. The Administrative Agent shall have received evidence in form and substance satisfactory to it that all filings, recordings, registrations and other actions, including, without limitation, the filing of duly executed financing statements on form UCC-1, necessary or, in the opinion of the Administrative Agent, desirable to perfect the Liens created by the Security Documents shall have been completed.

The Administrative Agent shall have received evidence in form and substance satisfactory to it that all filings, recordings, registrations and other actions, including, without limitation, the filing of duly executed financing statements on form UCC-1, the payment of all applicable filing and recording fees and expenses and the delivery of stock certificates, necessary or, in the opinion of the Administrative Agent, desirable to perfect the Liens created by the Security Documents shall have been completed.

Actions to Perfect Liens. The Administrative Agent shall have received evidence in form and substance satisfactory to it that all filings, recordings, registrations and other actions, including, without limitation, the filing of duly executed financing statements on form UCC-1, actions necessary or, in the opinion of the Administrative Agent, desirable to perfect the Liens created by the English Security Documents shall have been completed.

The Administrative Agent shall have received (i) evidence in form and substance reasonably satisfactory to it the Administrative Agent that all filings, recordings, registrations and other actions, including, without limitation, the filing of duly executed financing statements on form UCC-1, necessary or, in the opinion of the Administrative Agent, desirable to perfect the Liens created by the Security Documents shall have been completedcompleted or that all documents necessary to complete the foregoing shall have been executed and delivered to the Administrative Agent.

The General Administrative Agent shall have received evidence in form and substance satisfactory to it that all filings, recordings, registrations and other actions, including, without limitation, the filing of duly executed financing statements on form UCC-1, necessary or, in the opinion of the General Administrative Agent, desirable to perfect the Liens created by the Security Documents shall have been completed.

Actions to Perfect Liens. The Administrative Agent shall have received evidence in form and substance satisfactory to it that all filings, recordings, registrations and other actions, including, without limitation, the filing of duly executed financing statements on form UCC-3 and form UCC-1, or their foreign equivalents, necessary or, in the opinion of the Administrative Agent, desirable to perfect the Liens created by the Security Documents shall have been completedcompleted or will be completed immediately after the Closing Date.

Actions to Perfect Liens. The Administrative Agent shall have received evidence in form and substance reasonably satisfactory to it that all filings, recordings, registrations and other actions, including, without limitation, the filing of duly executed financing statements on form UCC-1, necessary or, in the opinion of the Administrative Agent, desirable to perfect the Liens created by the Security Documents shall have been completedcompleted (or arrangements satisfactory to the Administrative Agent for the prompt completion thereof shall have been made).

Actions to Perfect Liens. The Administrative Agent shall have received evidence in form and substance satisfactory to it that all filings, recordings, registrations and other actions, including, without limitation, the filing of duly executed completed financing statements on form UCC-1UCC-1 and amendments to financing statements on form UCC-3, necessary or, in the opinion of the Administrative Agent, desirable to perfect the Liens created by the Security Documents (as defined in the Existing Credit Agreement) shall have been completed.

Actions to Perfect Liens. The Administrative Agent shall have received evidence in form and substance satisfactory to it that all filings, recordings, registrations and other actions, including, without limitation, limitation the filing of UCC-3 assignments duly executed by the Prior Administrative Agent of all UCC-1 financing statements on form UCC-1delivered pursuant to the Prior Agreement, necessary or, in the opinion of the Administrative Agent, desirable to perfect the Liens created by the Security Documents shall have been completed.

The Administrative Agent shall have received evidence in form and substance reasonably satisfactory to it that all filings, recordings, registrations and other actions, including, without limitation, the filing of duly executed financing statements on form UCC-1Form UCC-1 in each jurisdiction set forth on Schedule 5.14, necessary or, in the reasonable opinion of the Administrative Agent, desirable to perfect the Liens created by the Security Documents shall have been completedcompleted or shall be ready to be completed promptly following the Effective Date, and all agreements, statements and other documents relating thereto shall be in form and substance reasonably satisfactory to the Administrative Agent.

Actions to Perfect Liens. The Administrative Agent shall have received evidence in form and substance satisfactory to it that all filings, recordings, registrations and other actions, including, without limitation, including the filing of duly executed financing statements on form UCC-1, necessary or, in the opinion of the Administrative Agent, desirable to perfect the Liens created by the Security Documents Pledge Agreement shall have been completed.

Actions to Perfect Liens. The Administrative Agent shall have received a pre-filing authorization letter, in form and substance acceptable to the Administrative Agent, from the Parent and each Borrower and evidence in form and substance satisfactory to it that all filings, recordings, registrations and other actions, including, without limitation, the filing of duly executed a financing statements on form UCC-1UCC-1 and any filings required by the PPSA, necessary or, in the opinion of the Administrative Agent, desirable to perfect the Liens created by the Security Documents shall have been completed.

Actions to Perfect Liens. The Administrative Agent shall have received evidence in form and substance reasonably satisfactory to it that all filings, recordings, registrations and other actions, including, without limitation, the filing of duly executed financing statements on form UCC-1Form UCC-1 in each jurisdiction set forth on Schedule 5.14, necessary or, in the reasonable opinion of the Administrative Agent, desirable advisable to perfect the Liens created by the Security Documents shall have been completedcompleted or shall be ready to be completed promptly following the Effective Date, and all agreements, statements and other documents relating thereto shall be in form and substance reasonably satisfactory to the Administrative Agent.

Actions to Perfect Liens. The On or prior to the Closing Date, the Administrative Agent shall have received evidence in form and substance satisfactory to it that all filings, recordings, registrations and other actions, including, without limitation, the filing of duly executed financing statements on form Form UCC-1, necessary or, in the opinion of the Administrative Agent, desirable to perfect the Liens created by the Security Documents shall have been completedcompleted or that all such financing statements and other documents with respect to such filings, recordings, registrations and other actions shall have been delivered to the Administrative Agent.

Actions to Perfect Liens. The Administrative Agent shall have received evidence in form and substance satisfactory to it that all filings, recordings, registrations and other actions, including, without limitation, the filing of duly executed financing statements on form UCC-1, Mortgages or Leasehold Mortgages (to the extent required by Section 8.2(c) hereof) and all other actions shall have been taken, in each case which are necessary or, in the opinion of the Administrative Agent, desirable to perfect the Liens created by the Security Documents Documents, the Mortgages or Leasehold Mortgages as supplemented in connection with such Acquisition Loans shall have been completed.
