Common use of Actions Without Meetings Clause in Contracts

Actions Without Meetings. Any decision or action required or permitted to be taken at a meeting of the Executive Committee or any other decision or action that may be taken at a meeting of the Executive Committee may be taken without a meeting if a consent in writing, setting forth the action so taken, is signed by at least one (1) Representative of each Member, which shall have the same effect as an act taken at a properly called and constituted meeting with a Quorum of the Executive Committee at which all of the Representatives of the Executive Committee were present and voting.

Any decision action permitted or action required or permitted to be taken at a meeting of the Executive Committee Board or any other decision or action that may be taken at a meeting of the Executive Committee committee thereof may be taken without a meeting if a unanimous consent in writing, setting forth the action so to be taken, is signed (or approved via e-mail) by the minimum number of the Board Members or the Committee Members representing the minimum number of votes that would be necessary to authorize or take the action at least one (1) Representative of each Member, which shall a meeting. Each such consent will have the same force and effect as an act a requisite vote taken at a properly meeting duly called and constituted meeting with a Quorum of the Executive Committee at which all of the Representatives of the Executive Committee were present and votingheld.
