ADAPTEC'S GENERAL OBLIGATIONS AS PLAN SPONSOR. To the extent that Roxio is a Participating Company in any Adaptec Plan, Adaptec shall continue to administer, or cause to be administered, in accordance with its terms and applicable law, such Adaptec Plan, and shall have the sole and absolute discretion and authority to interpret the Adaptec Plan, as set forth therein. Notwithstanding the foregoing, Adaptec may at any time amend, merge, modify, terminate, eliminate, reduce, or otherwise alter any Adaptec Plan to the extent permitted by law and the terms of such Adaptec Plan.
