Additional Acknowledgments by the Seller. (i) The Seller acknowledges and agrees that any portion of the Purchase Price allocated to the covenants contained in this Section 7.10 pursuant to Section 3.8 does not in any way reflect, nor is in any way intended to reflect, (A) the value of the overall legal consideration being given to the Seller for such covenants or (B) the amount of monetary damages that would adequately compensate the Purchaser or its Affiliates for any violation or attempted violation of any of the Seller’s obligations under this Section 7.10. Accordingly, the Seller agrees to not assert the foregoing as a defense to any such violation or attempted violation nor assert any of the foregoing as relevant to determining adequacy of consideration or monetary damages for any such violation or attempted violation.
