Additional Agreements Covenants After Closing. 8.1 Indemnification,
(a) Survival. Notwithstanding the right of Purchaser to fully investigate the affairs of Sellers, and notwithstanding any Knowledge of facts determined or determinable by Purchaser pursuant to such investigation or right of investigation, Purchaser has the right to rely fully upon the representations, warranties, covenants and agreements of Sellers set forth in this Agreement. All representations, warranties, covenants and agreements set forth in this Agreement or in any Schedule or Exhibit to this Agreement will survive the Closing Date, and the consummation of the transactions contemplated hereby and will not be affected by any examination made for or on behalf of any of the parties hereto or the Knowledge of any of their officers, directors, stockholders, employees, agents or stockholder or the acceptance of any certificate. Purchaser represents and warrants to Sellers and Stockholder that it and its shareholders, affiliates and agents do not have any Knowledge of a breach by Sellers or Stockholder of any of its representations and warranties.
