Additional Condition Precedent in Favour of Canopy Growth and Tweed NB. The obligation of Canopy Growth and Tweed NB to complete the Arrangement will be subject to the satisfaction or waiver by Canopy Growth and Tweed NB, on or before the Effective Date, of each of the following conditions, each of which is for the exclusive benefit of Canopy Growth and Tweed NB and which may be waived by Canopy Growth and Tweed NB at any time, in whole or in part, in its sole discretion and without prejudice to any other rights that Canopy Growth and Tweed NB may have:
