Common use of Additional Confidentiality Obligations Clause in Contracts

Additional Confidentiality Obligations. Except as required by applicable federal, state or local law or regulation, or otherwise as mutually agreed to in writing by the Parties, neither Party shall, nor permit any of its Representatives to, disclose to any person: (a) that the Confidential Information has been made available to it or its Representatives, or that it has inspected any portion of the Confidential Information; (b) that discussions or negotiations may be, or are, underway between the Parties regarding the Confidential Information or the Purpose, including the status thereof; or (c) any terms, conditions or other arrangements that are being discussed or negotiated in relation to the Confidential Information or the Purpose.

Additional Confidentiality Obligations. Except as required by applicable federal, state state, or local law or regulation, or otherwise as mutually agreed to in writing by the Parties, neither Party shallshall itself disclose, nor permit any of its Representatives to, to disclose to any person: (a) that the Confidential Information has been made available to it or its Representatives, or that it has inspected any portion of the Confidential Information; (b) that discussions or negotiations may be, or are, underway between the Parties regarding the Confidential Information or the Purpose, including the status thereof; or (c) any terms, conditions conditions, or other arrangements that are being discussed or negotiated in relation to the Confidential Information or the Purpose.

Additional Confidentiality Obligations. Except as required by applicable federallaw, state or local law or regulation, order, or other similar requirement of any governmental, regulatory, or supervisory authority or any applicable rules and regulations of any national securities exchange, or except as otherwise as mutually agreed to in writing permitted by the Partiesthis Agreement, neither Party shallshall disclose, nor permit any of its Representatives toto disclose, disclose to any person: (a) that the Disclosing Party’s Confidential Information has been made available to it or Recipient and its Representatives, or that it has inspected any portion of the Confidential Information; ; (b) that the existence or status of any discussions or negotiations may be, or are, underway between the Parties regarding the Confidential Information or in respect of the Purpose, including the status thereof; or or (c) any terms, conditions or other arrangements that are being discussed or negotiated between the Parties in relation to the Confidential Information or respect of the Purpose.

Except as otherwise provided in this Agreement, as required by applicable federal, state or local law or regulation, or otherwise as mutually agreed to in writing by the Parties, neither Party shall, nor permit any of its Representatives to, disclose to any person: person (a) that the Confidential Information has been made available to it or its Representatives, or that it has or its Representatives have inspected any portion of the Confidential Information; ; (b) that discussions or negotiations may be, or are, underway between the Parties regarding the Confidential Information or the Purpose, including the status thereof; or or (c) any terms, conditions or other arrangements that are being discussed or negotiated in relation to the Confidential Information or the Purpose, all of which shall be considered “Confidential Information” for purposes of this Agreement.

Except as required by applicable federal, state state, or local law or regulation, or otherwise as mutually agreed to in writing by the Parties, neither Party shallthe Lessor may not, nor permit any of its Representatives representatives to, disclose to any person: (ai) that the Confidential Information has been made available to it or its Representativesrepresentatives, or that it has inspected any portion of the Confidential Information; (bii) that discussions or negotiations may be, or are, underway between the Parties regarding the Confidential Information or the Purpose, including the status thereof; or (ciii) any terms, conditions conditions, or other arrangements that are being discussed or negotiated in relation to the Confidential Information or the PurposeInformation.
