Common use of Additional Duties of the Transfer Agents Clause in Contracts

Additional Duties of the Transfer Agents. The Transfer Agent with which a Certificate is presented for the transfer of, or exercise of any Noteholders’ option relating to, Registered Notes represented by it shall forthwith notify the Registrar of (1) the name and address of the holder of the Registered Note(s) appearing on such Certificate, (2) the certificate number of such Certificate and nominal amount of the Registered Note(s) represented by it, (3) (in the case of an exercise of an option) the contents of the Exercise Notice, (4) (in the case of a transfer of, or exercise of an option relating to, part only) the nominal amount of the Registered Note(s) to be transferred or in respect of which such option is exercised, and (5) (in the case of a transfer) the name and address of the transferee to be entered on the Register and, subject to Clause 6.4, shall cancel such Certificate and forward it to the Registrar.

Additional Duties of the Transfer Agents. The Transfer Agent with which a Certificate is presented for the transfer of, or exercise of any Noteholders’ option relating to, Registered Notes represented by it shall forthwith notify the Registrar of (1) the name and address of the holder of the Registered Note(s) appearing on such Certificate, (2) the certificate number of such Certificate and nominal amount of the Registered Note(s) represented by it, (3) (in the case of an exercise of an option) the contents of the Exercise Notice, (4) (in the case of a transfer of, or exercise of an option relating to, part only) the nominal amount of the Registered Note(s) to be transferred or in respect of which such option is exercised, and (5) (in the case of a transfer) the name and address of the transferee to be entered on the Register and, subject to Clause 6.47.4, shall cancel such Certificate and forward it to the Registrar.

Additional Duties of the Transfer Agents. The Transfer Agent with to which a Certificate is presented for the transfer of, or exercise of any Noteholders’ option relating to, Registered Notes represented by it shall forthwith as soon as reasonably practicable notify the Registrar of (1) the name and address of the holder of the Registered Note(s) appearing on such Certificate, (2) the certificate number of such Certificate and nominal principal amount of the Registered Note(s) represented by it, (3) (in the case of an exercise of an option) the contents of the Exercise Put Option Notice, (4) (in the case of a transfer of, or exercise of an option relating to, part only) the nominal principal amount of the Registered Note(s) Notes to be transferred or in respect of which such option is exercised, and (5) (in the case of a transfer) the name and address of the transferee to be entered on the Register and, subject to Clause 6.4, shall cancel such Certificate and forward it to the Registrar.

The Transfer Agent with which a Certificate is presented for the transfer of, or exercise of any NoteholdersSecurityholders’ option relating to, Registered Notes Securities represented by it shall forthwith notify the Registrar of (1) the name and address of the holder of the Registered Note(sSecurity(ies) appearing on such Certificate, (2) the certificate number of such Certificate and nominal amount of the Registered Note(sSecurity(s) represented by it, (3) (in the case of an exercise of an option) the contents of the Exercise Notice, (4) (in the case of a transfer of, or exercise of an option relating to, part only) the nominal amount of the Registered Note(sSecurity(ies) to be transferred or in respect of which such option is exercised, and (5) (in the case of a transfer) the name and address of the transferee to be entered on the Register and, subject to Clause 6.4, shall cancel such Certificate and forward it to the Registrar.

The Transfer Agent with which a Certificate is presented for the transfer of, or exercise of any Noteholders’ ' option relating to, Registered Notes represented by it shall forthwith notify the Registrar of (1a) the name and address of the holder of the Registered Note(s) appearing on such Certificate, (2b) the certificate number of such Certificate and nominal amount of the Registered Note(s) represented by it, (3c) (in the case of an exercise of an option) the contents of the Exercise Notice, (4d) (in the case of a transfer of, or exercise of an option relating to, part only) the nominal amount of the Registered Note(s) to be transferred or in respect of which such option is exercised, and (5e) (in the case of a transfer) the name and address of the transferee to be entered on the Register and, subject to Clause 6.46.4 (Option Exercise Notices), shall cancel such Certificate and forward it to the Registrar.

Additional Duties of the Transfer Agents. ‌ The Transfer Agent with which a Certificate is presented for the transfer of, or exercise of any Noteholders’ option relating to, Registered Notes represented by it shall forthwith notify the Registrar of (1) the name and address of the holder of the Registered Note(s) appearing on such Certificate, (2) the certificate number of such Certificate and nominal amount of the Registered Note(s) represented by it, (3) (in the case of an exercise of an option) the contents of the Exercise Notice, (4) (in the case of a transfer of, or exercise of an option relating to, part only) the nominal amount of the Registered Note(s) to be transferred or in respect of which such option is exercised, and (5) (in the case of a transfer) the name and address of the transferee to be entered on the Register and, subject to Clause 6.4, 7.4 shall cancel such Certificate and forward it to the Registrar.

Additional Duties of the Transfer Agents. The Transfer Agent with which a Certificate is presented for the transfer of, or exercise of any Noteholders’ option relating to, Registered Notes represented by it shall forthwith promptly notify the Registrar of (1) the name and address of the holder of the Registered Note(s) appearing on such Certificate, (2) the certificate number of such Certificate and nominal amount of the Registered Note(s) represented by it, (3) (in the case of an exercise of an option) the contents of the Exercise Notice or the Change of Control Put Event Notice, (4) (in the case of a transfer of, or exercise of an option relating to, part only) the nominal amount of the Registered Note(s) to be transferred or in respect of which such option is exercised, and (5) (in the case of a transfer) the name and address of the transferee to be entered on the Register and, subject to Clause 6.4, shall cancel such Certificate and forward it to the Registrar.

Additional Duties of the Transfer Agents. The Transfer Agent with which a Certificate is presented for the transfer of, or exercise of any Noteholders’ ' option relating to, Registered Notes represented by it shall forthwith notify the Registrar and each other Transfer Agents of (1) the name and address of the holder of the Registered Note(s) appearing on such Certificate, (2) the certificate number of such Certificate and nominal amount of the Registered Note(s) represented by it, (3) (in the case of an exercise of an option) the contents of the Exercise Notice, (4) (in the case of a transfer of, or exercise of an option relating to, part only) the nominal amount of the Registered Note(s) to be transferred or in respect of which such option is exercised, and (5) (in the case of a transfer) the name and address of the transferee to be entered on the Register and, subject to Clause 6.46.4 (Option Exercise Notices), shall cancel such Certificate and forward it to the Registrar.
