Exchange of Exchangeable Bearer Notes. The Transfer Agent with which an Exchangeable Bearer Note is deposited in a valid exercise of its holder’s election to exchange it for a Registered Note shall forthwith (1) notify the Fiscal Agent and the Registrar of the Series, nominal amount and certificate number of such Note, (2) notify the Registrar of the name and address to be entered on the Register and (3) cancel such Note, together with any related unmatured Coupons and Talons, and forward them to the Fiscal Agent.
Exchange of Exchangeable Bearer Notes. Subject as provided in Condition 4(e), Exchangeable Bearer Notes may be exchanged for the same aggregate principal amount of Registered Notes of a Specified Denomination at the request in writing of the relevant Noteholder and upon surrender of each Exchangeable Bearer Note to be exchanged, together with all unmatured Receipts, Coupons and Talons relating to it, at the specified office of the Registrar or the Transfer Agent (or, in the case of Notes lodged in CMU, the HK Lodging Agent); provided, however, that where an Exchangeable Bearer Note is surrendered for exchange after the Record Date (as defined in Condition 7(b)(ii)(A)) for any payment of interest, the Coupon in respect of that payment of interest need not be surrendered with it. Registered Notes may not be exchanged for Bearer Notes. Bearer Notes of one Denomination may not be exchanged for Bearer Notes of another Denomination. Bearer Notes which are not Exchangeable Bearer Notes may not be exchanged for Registered Notes.

Registered Notes may not be exchanged for Bearer Notes. Bearer Notes that are not Exchangeable Bearer Notes may not be exchanged for Registered Notes.
Exchange of Exchangeable Bearer Notes receive requests to effect exchanges of Exchangeable Bearer Notes for Registered Notes and in particular upon any such request being duly made to it forthwith notify the Registrar of (a) the serial number or numbers of the Exchangeable Bearer Note or Notes, and (b) the name and address to be entered on the register for the holder of the Registered Notes;
