Common use of Additional Duties of the Transfer Agents Clause in Contracts

Additional Duties of the Transfer Agents. The Transfer Agent to which a Certificate is surrendered for the transfer of, or exercise of any Bondholders’ option relating to, the Bonds represented by it shall forthwith notify the Registrar of (a) the name and address of the holder of the Bond(s) appearing on such Certificate, (b) the certificate number of such Certificate and principal amount of the Bond(s) represented by it, (c) (in the case of an exercise of an option) the contents of the Exercise Notice, (d) (in the case of a transfer of, or exercise of an option relating to, part only) the principal amount of the Bond(s) to be transferred or in respect of which such option is exercised, and (e) (in the case of a transfer) the name and address of the transferee to be entered on the Register and, subject to Clause 6.4, shall cancel such Certificate and forward it to the Registrar.

Additional Duties of the Transfer Agents. The Any Transfer Agent to which whom a Certificate is surrendered presented for the transfer of, or exercise of any BondholdersNoteholders’ option relating to, the Bonds Registered Notes represented by it shall forthwith notify the Registrar of (a) the name and address of the holder of the Bond(sRegistered Note(s) appearing on such Certificate, (b) the certificate number of such Certificate and principal amount of the Bond(sRegistered Note(s) represented by it, (c) (in the case of an exercise of an option) the contents of the Exercise Notice, ; (d) (in the case of a transfer of, or exercise of an option relating to, part only) the principal amount of the Bond(sRegistered Note(s) to be transferred or in respect of which such option is exercised, exercised and (e) (in the case of a transfer) the name and address of the transferee to be entered on the Register and, subject to Clause 6.47.4 (Destruction), shall cancel such Certificate and forward it to the Registrar.
