Additional Representations of Xxxxx. (a) Xxxxx has the requisite limited liability company power and authority to execute and deliver this Amendment and to consummate the transactions contemplated hereby. The execution and delivery of this Amendment have been duly and validly authorized by the Xxxxx Board. This Amendment has been duly and validly executed and delivered by Xxxxx and (assuming due authorization, execution and delivery by Mercury) constitutes the valid and binding obligation of Xxxxx, enforceable against Xxxxx in accordance with its terms (except as may be limited by bankruptcy, insolvency, moratorium, reorganization or similar Laws affecting the rights of creditors generally and the availability of equitable remedies).

All costs incurred with replacement including, but not limited to, cost of media, shipping, deliveries and installation, shall be borne by such party.
