Additional Spacecraft Clause Samples

The "Additional Spacecraft" clause defines the terms under which extra spacecraft, beyond those initially agreed upon, may be added to a contract or agreement. Additional Spacecraft. Each of the Supplier and the Borrower confirm that, as of the date of this Deed, the Borrower has not exercised the option to order from the Supplier up to eighteen (18) additional recurring Spacecraft (as such term is defined in the Thales Secured Agreement) pursuant to Article 29(B) (Options) of the Thales Secured Agreement.
Additional Spacecraft. Inmarsat may wish to procure up to two (2) additional Inmarsat-4 spacecraft to extend the coverage of the Inmarsat-4 constellation or to replace spacecraft that were not successfully deployed. Inmarsat envisages exercising this option at either ****months after placement of this Contract. Delivery of additional spacecraft shall be **** after exercise of this option but no earlier than **** after the delivery of the F3 spacecraft.
Additional Spacecraft. This Statement of Work applies in its entirety except for the activities already performed for the first procured spacecraft and applicable to the selected option, i.e.: EQSR, communication simulator, Spacecraft simulator, life test battery and battery cell components. In the event that a new or modified unit is included as a part of the additional Spacecraft, a corresponding unit level EQSR review shall be held; additional unit reviews (PDR, CDR, MRR, and/or FRR) shall be held in accordance with the outcome of the corresponding EQSR Unless otherwise noted, documentation requirements of Exhibit B, Appendix 2, shall apply for each additional Spacecraft ordered. For additional spacecraft, and unless otherwise stated in Exhibit B, Appendix 2, the Contractor may refer to previous delivered documentation when such documentation is unchanged.
Additional Spacecraft. Purchaser shall have the option to order from Contractor up to eighteen (18) additional recurring Spacecraft under the following conditions : (i) Each order shall be for a minimum of six (6) additional Spacecraft. (ii) If the order is exercised on or before July 1, 2008, then the firm fixed price for each additional Spacecraft shall be [*] Euros. (iii) If the order is exercised on or after July 2, 2008 for delivery of Satellites before December 31, 2013, then the firm fixed price for each additional Spacecraft shall be [*] Euros. (iv) If the order is exercised after July 2, 2008 for delivery after December 31, 2013, then the firm fixed price for each additional Spacecraft shall be [*] Euros plus a [*]% annual increase for each year after 2013. (v) The Delivery schedule for each additional Spacecraft ordered on or before April 1, 2013 (under the Regular Delivery) shall be : · the first Spacecraft ordered will be delivered twenty two (22) months after the date of receipt of the order by Contractor ; and · the subsequent Spacecraft will be delivered at a rate of one (1) per month after the first one of that Batch (the minimum size of the order being of 6 to 8 satellites per Batch). The Delivery schedule for each additional Spacecraft ordered after April 1, 2013 (under the Regular Delivery) shall be : · the first Spacecraft ordered will be delivered thirty (30) months after the date of receipt of the order by Contractor ; and · the subsequent Spacecraft will be delivered at a rate of one (1) per month after the first one of that Batch (the minimum size of the order being of 6 to 8 satellites per Batch). In any case, in case of obsolescence of components, Contractor reserves the right to renegotiate in good faith with Purchaser the price and schedule for these additional satellites.
