Common use of Additionally Requested Documents; Post-Closing Assistance Clause in Contracts

Additionally Requested Documents; Post-Closing Assistance. At the reasonable request of Buyer at Closing or at any time thereafter, Seller and Shareholders shall cooperate with Buyer to put Buyer in actual possession and operating control of the Assets and Business, execute and deliver such further instruments of sale, conveyance, transfer and assignment, as Buyer may reasonably request in order to effectively sell, convey, transfer and assign the Assets and Business to Buyer, to execute and deliver such further instruments and to take such other actions as Buyer may reasonably request to release Buyer from all obligation and liability with regard to any obligation or liability retained by Seller and/or any Shareholder and to execute and deliver such further instruments and to cooperate with Buyer as Buyer may reasonably request or to enable Buyer to obtain all necessary health care or regulatory certifications, approvals, registrations, consents and licenses, accreditations or permits.

Additionally Requested Documents; Post-Closing Assistance. At the reasonable request of Buyer at Closing or at any from time thereafterto time, Seller and Shareholders shall Shareholder, as Buyer may reasonably request and at Buyer's expense, will (a) cooperate with Buyer to put Buyer in actual possession and operating control of the Assets and Business, (b) execute and deliver such further instruments of sale, conveyance, transfer and assignment, as Buyer may reasonably request in order assignment effectively to effectively sell, convey, transfer and assign the Assets and Business to Buyer, to (c) execute and deliver such further instruments and to take such other actions as Buyer may reasonably request to release Buyer from all obligation and liability with regard to any obligation or liability retained by Seller and/or any Shareholder Shareholder, and to (d) execute and deliver such further instruments and to cooperate with Buyer as Buyer may reasonably request or to enable Buyer to obtain all necessary health care or regulatory certifications, approvals, registrations, consents and licenses, accreditations or permits.

At the reasonable request of Buyer at Closing or and at any time or from time to time thereafter, Seller and Shareholders shall cooperate with Buyer to put Buyer in actual possession and operating control of the Assets Stock, Company, Business and BusinessAssets, execute and deliver such further instruments of sale, conveyance, transfer and assignment, as Buyer may reasonably request in order to effectively sell, convey, transfer and assign the Assets and Business same to Buyer, to execute and deliver such further instruments and to take such other actions as Buyer may reasonably request to release Buyer and Company from all obligation and liability with regard to any obligation or liability retained or assumed by Seller and/or any Shareholder Shareholders, and to execute and deliver such further instruments and to cooperate with Buyer as Buyer may reasonably request or to enable Buyer and Company to obtain all necessary health care or regulatory certifications, approvals, registrations, consents and licenses, accreditations accreditation or permits.

At the reasonable request of Buyer at Closing or at any and/or from time to time thereafter, Seller and Shareholders Sellers shall cooperate with Buyer to put Buyer in actual possession and operating control of the Assets and BusinessFacilities, execute and deliver such further instruments of sale, conveyance, transfer and assignment, as Buyer may reasonably request in order to effectively sell, convey, transfer and assign the Assets and Business Facilities to Buyer, to execute and deliver such further instruments and to take such other actions as Buyer may reasonably request to release Buyer from all obligation and liability with regard to any obligation or liability retained by Seller and/or any Shareholder Sellers and to execute and deliver such further instruments and to cooperate with Buyer as Buyer may reasonably request or to enable Buyer to obtain all necessary health care or regulatory certifications, approvals, registrations, consents and licenses, accreditations or permits.

At the reasonable request of Buyer at Closing or and at any time or from time to time thereafter, Seller and Shareholders Members shall cooperate with Buyer to put Buyer in actual possession and operating control of the Assets and BusinessAssets, execute and deliver such further instruments of sale, conveyance, transfer and assignment, as Buyer may reasonably request in order to effectively sell, convey, transfer and assign the Assets and Business to Buyer, to execute and deliver such further instruments and to take such other actions as Buyer may reasonably request to release Buyer from all obligation and liability with regard to any obligation or liability retained by Seller and/or any Shareholder Members and to execute and deliver such further instruments and to cooperate with Buyer as Buyer may reasonably request or to enable Buyer to obtain all necessary health care or regulatory certifications, approvals, registrations, consents and licenses, accreditations or permits. In addition, in the event that after Closing Buyer elects to sell any ownership interest to local physicians, Members shall provide such assistance to Buyer as Buyer may reasonably request.

At the reasonable request of Buyer at Closing or and at any time or from time to time thereafter, Seller and Shareholders General Partner shall cooperate with Buyer to put Buyer in actual possession and operating control of the Assets and Business, execute and deliver such further instruments of sale, conveyance, transfer and assignment, as Buyer may reasonably request in order to effectively sell, convey, transfer and assign the Assets and Business to Buyer, to execute and deliver such further instruments and to take such other actions as Buyer may reasonably request to release Buyer from all obligation and liability with regard to any obligation or liability retained by Seller and/or any Shareholder General Partner and to execute and deliver such further instruments and to cooperate with Buyer as Buyer may reasonably request or to enable Buyer to obtain all necessary health care or regulatory certifications, approvals, registrations, consents and licenses, accreditations accreditation or permits.

At the reasonable request of Buyer at Closing or and at any time or from time to time thereafter, Seller Sellers and Shareholders shall Shareholders, as Buyer may reasonably request, will (a) cooperate with Buyer to put Buyer in actual possession and operating control of the Assets and Business, (b) execute and deliver such further instruments of sale, conveyance, transfer and assignment, as Buyer may reasonably request in order assignment effectively to effectively sell, convey, transfer and assign the Assets and Business to Buyer, to (c) execute and deliver such further instruments and to take such other actions as Buyer may reasonably request to release Buyer from all obligation and liability with regard to any obligation or liability retained by Seller Sellers and/or any Shareholder Shareholders, and to (d) execute and deliver such further instruments and to cooperate with Buyer as Buyer may reasonably request or to enable Buyer to obtain all necessary health care or regulatory certifications, approvals, registrations, consents and licenses, accreditations or permits.

At the reasonable request of Buyer at Closing or and at any time or from time to time thereafter, Seller Sellers and Shareholders Owners shall cooperate with Buyer to put Buyer in actual possession and operating control of the Assets and Business, execute and deliver such further instruments of sale, conveyance, transfer and assignment, as Buyer may reasonably request in order to effectively sell, convey, transfer and assign the Assets and Business to Buyer, to execute and deliver such further instruments and to take such other actions as Buyer may reasonably request to release Buyer from all obligation and liability with regard to any obligation or liability retained by Seller and/or any Shareholder Sellers and to execute and deliver such further instruments and to cooperate with Buyer as Buyer may reasonably request or to enable Buyer to obtain all necessary health care or regulatory certifications, approvals, registrations, consents and licenses, accreditations or permits.
