Common use of ADEA Waiver Clause in Contracts

ADEA Waiver. You acknowledge that you are knowingly and voluntarily waiving and releasing any rights you may have under the ADEA (the “ADEA Waiver”), and that the consideration given for the ADEA Waiver is in addition to anything of value to which you are already entitled. You further acknowledge that you have been advised, as required by the ADEA, that: (i) your ADEA Waiver does not apply to any rights or claims that may arise after the date that you sign this Agreement; (ii) you should consult with an attorney prior to signing this Agreement (although you may choose voluntarily not to do so); (iii) you have twenty-one (21) days to consider this Agreement (although you may choose voluntarily to sign it earlier); (iv) you have seven (7) days following the date you sign this Agreement to revoke the ADEA Waiver (by providing written notice of your revocation to the Company’s CEO); and (v) this Agreement will not be effective until the date upon which the revocation period has expired, which will be the eighth day after the date that this Agreement is signed by you provided that you do not revoke it (the “Effective Date”).

ADEA Waiver. You acknowledge that you are knowingly and voluntarily waiving and releasing any rights you may have under the ADEA (the “ADEA Waiver”)ADEA, and as amended. You also acknowledge that the consideration given for the ADEA Waiver waiver and release herein is in addition to anything of value to which you are were already entitled. You further acknowledge that you have been advisedadvised by this writing, as required by the ADEA, that: (ia) your ADEA Waiver does waiver and release do not apply to any rights or claims that may arise after the execution date that you sign of this Agreement; (iib) you should have been advised hereby that you have the right to consult with an attorney prior to signing executing this Agreement; (c) you have up to twenty-one (21) days from the date of this Agreement to execute this Agreement (although you may choose to voluntarily not to do so); (iii) you have twenty-one (21) days to consider execute this Agreement (although you may choose voluntarily to sign it earlier); (ivd) you have seven (7) days following the date you sign execution of this Agreement by the parties to revoke the ADEA Waiver (by providing written notice of your revocation to the Company’s CEO)Agreement; and (ve) this Agreement will not be effective until the date upon which the revocation period has expired, which will be the eighth day after the date that this Agreement is signed executed by you you, provided that you do not revoke it the Company has also executed this Agreement by that date (the “Effective Date”); and (f) this Agreement does not affect your ability to test the knowing and voluntary nature of this Agreement.

ADEA Waiver. You acknowledge that you are knowingly and voluntarily waiving and releasing any rights you may have under the ADEA Federal Age Discrimination in Employment Act (the “ADEA Waiver”), ) and that the consideration given for the ADEA Waiver is in addition to anything of value to which you are already entitled. You further acknowledge that you have been advised, as required by the ADEA, that: (ia) your ADEA Waiver does not apply to any rights or claims that may arise after the date that you sign this Agreement; (iib) you should consult with an attorney prior to signing executing this Agreement (although you may choose voluntarily not to do so)Agreement; (iiic) you have twenty-one [21][45] calendar days (21such final date, the “Deadline”) days within which to consider this Agreement (although you may choose voluntarily to sign it execute Agreement earlier); (ivd) you have seven (7) 7 calendar days following the date you sign this execution of the Agreement to revoke the ADEA Waiver (by providing written notice of your revocation to the Company’s CEO)this Agreement; and (ve) this the Agreement will not be effective until the date upon which the revocation period has expired, which will be the eighth day after the date that you sign this Agreement is signed by you provided that you do have not revoke revoked it (the “Effective Date”). You agree that any modifications, material or otherwise, made to this Agreement do not restart or affect in any manner the original [21][45]-day consideration period provided in this section. To revoke the Agreement, you must deliver a written notice of revocation to the Company prior to the end of the 7-day period. You acknowledge that your consent to this Agreement is knowing and voluntary. The offer described in this Agreement will be automatically withdrawn if you do not sign the Agreement within the [21][45]-day consideration period.

ADEA Waiver. You acknowledge that you are knowingly and voluntarily waiving and releasing any rights you may have under the ADEA (the “ADEA Waiver”), and that the consideration given for the ADEA Waiver waiver and release in this Section is in addition to anything of value to which you are already entitled. You further acknowledge that you have been advised, as required by the ADEA, that: (i) your ADEA Waiver does waiver and release do not apply to any rights or claims that may arise after the date that you sign this Agreement; (ii) you should consult with an attorney prior to signing this Agreement (although you may choose voluntarily not to do so); (iii) you have twenty-one (21) days to consider this Agreement (although you may choose voluntarily to sign it earlier); (iv) you have seven (7) days following the date you sign this Agreement to revoke the ADEA Waiver (by providing written notice of your revocation to the Company’s CEOme); and (v) this Agreement the ADEA Waiver will not be effective until the date upon which the revocation period has expiredexpired unexercised, which will be the eighth day after the date that you sign this Agreement is signed by you provided that you do not revoke it (the “Effective Date”). Nevertheless, your general release of claims, except for the ADEA Waiver, is effective immediately, and not revocable.

Nevertheless, your general release of claims, except for the ADEA Waiver, is effective immediately, and not revocable.

You further acknowledge that you have been advisedare advised by this writing, as required by the ADEA, that: (ia) your ADEA Waiver this release does not apply to any rights or claims that may arise after the date that you sign this Separation Agreement; (iib) you should consult with an attorney prior to signing executing this Agreement (although you may choose voluntarily not to do so)release; (iiic) you have twenty-one (21) days within which to consider this Agreement release (although you may choose to voluntarily to sign it execute the Separation Agreement earlier); (ivd) you have seven (7) days following the date you sign execution of this Agreement release to revoke the ADEA Waiver this Separation Agreement (by providing in a written notice of your revocation directed to the Company’s CEOme); and (ve) this Separation Agreement will not be effective until the date upon which the revocation period has expired, which will be the eighth day after the date that you sign this Agreement is signed by you Separation Agreement, provided that you do have not revoke earlier revoked this Separation Agreement. You will not be entitled to receive any of the benefits specified by this Separation Agreement unless and until it (the “Effective Date”)becomes effective.

ADEA Waiver. You further acknowledge that the Employer has provided you with the ADEA Disclosure information (under Title 29 USC Section 626(f)(1)(H)).

ADEA Waiver. ADEA Waiver. You Employee further acknowledge acknowledges that you have he has been advised, as required by the ADEA, that: (i) your ADEA Waiver his waiver and release does not apply to any rights or claims that may arise after the date that you sign he signs this Agreement; (ii) you he should consult with an attorney prior to signing this Agreement (although you he may choose voluntarily not to do so); (iii) you have he has twenty-one (21) days to consider this Agreement (although you he may choose voluntarily to sign it earliersooner); (iv) you have he has seven (7) days following the date you sign he signs this Agreement to revoke the ADEA Waiver this Agreement (by providing in a written notice of your revocation delivered to the Company’s CEOme); and (v) this Agreement will not be effective until the date upon which the revocation period has expired, which will be the eighth day after the date that Employee signs this Agreement is signed by you provided that you do he does not revoke it (the “"Effective Date”").

ADEA Waiver. You further acknowledge that you have been advised, as required by the ADEA, that: (ia) your ADEA Waiver does waiver and release do not apply to any rights or claims that may arise after the date that you sign this Agreement; (iib) you should consult with an attorney prior to signing this Agreement (although you may choose voluntarily not to do so); (iiic) you have twenty-one (21) days from the date you receive this Agreement to consider this Agreement (although you may choose voluntarily to sign it earlier); (ivd) you have seven (7) days following the date you sign this Agreement to revoke the ADEA Waiver (Agreement by providing written notice of your revocation to the Company’s CEO); and (ve) this Agreement will not be effective until the date upon which the revocation period has expired, which will be the eighth day after the date that this Agreement is signed by you provided that you do not revoke it (the “Effective Date”).

Nevertheless, your general release of claims, except for the ADEA Waiver, is effective immediately, and not revocable.

ADEA Waiver. You acknowledge that that, in exchange for the Company's agreement to pay you the Severance Benefits if you comply with the conditions specified in Section 4.1 above, you are knowingly and voluntarily waiving and releasing any rights you may have under the ADEA (the “"ADEA Waiver”"), and . You also acknowledge that the consideration given for the ADEA Waiver is in addition to anything of value to which you are were already entitled. You further acknowledge that you have been advisedare advised by this writing, as required by the ADEA, that: (ia) your ADEA Waiver this Release does not apply to any rights or claims that may arise after the date that you sign this Agreement; (iib) you should consult with an attorney prior to signing executing this Agreement (although you may choose voluntarily not to do so)Release; (iiic) you have twenty-one (21) days within which to consider this Agreement Release (although you may choose to voluntarily to sign it execute this Release earlier); (ivd) you have seven (7) days following the date you sign execution of this Agreement Release to revoke the ADEA Waiver (by providing written notice of your revocation to the Company’s CEO)Release; and (ve) this Agreement Release will not be effective until the date upon which the revocation period has expired, which will be the eighth day after the date that this Agreement is signed by you sign it, provided that you do have not revoke it earlier revoked this Release (the “"Effective Date”"). Your allowing this Release to become effective is a condition precedent to you receiving any of the Severance Benefits. You understand and agree that all of the provisions of this Agreement other than the Release contained in Sections 4.2, 4.3, and 4.4 herein will become immediately effective and irrevocable as of the date you sign this Agreement, and will not be affected if you revoke this Release.

ADEA Waiver. You acknowledge that you are knowingly and voluntarily waiving and releasing any rights you may have under the ADEA (the “ADEA Waiver”), and . You also acknowledge that the consideration given for the ADEA Waiver is in addition to anything of value to which you are were already entitled. ADEA Waiver. ADEA Waiver. ADEA Waiver. You further acknowledge that the Company has provided you with the ADEA Disclosure information (under Title 29 U.S.C. Section 626(f)(1)(H)), attached as Exhibit D to this Agreement.

ADEA Waiver. You also specifically acknowledge that you are knowingly and voluntarily waiving and releasing any rights you may have under the ADEA (the “ADEA Waiver”), ADEA; and that the consideration given under this Agreement for the ADEA Waiver this waiver and release is in addition to anything of value to which you are already entitled. You further acknowledge that you have been advisedadvised by this writing, as required by the ADEA, that: (i) your ADEA Waiver does waiver and release do not apply to any rights or claims that may arise on or after the date that you sign execute this Agreement; (ii) you should consult with an attorney prior to signing executing this Agreement (although you may choose voluntarily not to do so); (iii) you have twenty-one (21) days to consider this Agreement (although you may choose voluntarily to sign execute it earlier); (iv) you have seven (7) days following the date you sign this Agreement to revoke the ADEA Waiver your acceptance of it (by providing written revocation notice of your revocation to the Company’s CEOChief Financial Officer of the Company received within the 7-day revocation period); and (v) this Agreement will shall not be effective until the date upon which eighth day after you have signed it, provided that the revocation period has expired, which will be the eighth day after the date that this Agreement is signed by you provided that you do not revoke it expired unexercised (the “Effective Date”).

ADEA Waiver. You hereby acknowledge that you are knowingly and voluntarily waiving and releasing any rights you may have under the ADEA (the “ADEA Waiver”), and that the consideration given for the ADEA Waiver waiver and release in the preceding paragraph is in addition to anything of value to which you are were already entitled. You further acknowledge that you have been advisedadvised by this writing, as required by the ADEA, that: (ia) your ADEA Waiver does waiver and release do not apply to any rights or claims that may arise after the date that you sign this Agreement; (iib) you should consult with an attorney prior to signing this Agreement (although you may choose decide voluntarily not to do so); (iiic) you have twenty-one (21) days within which to consider this Agreement (although you may choose voluntarily to sign it this Agreement earlier); (ivd) you have seven (7) days following the date you sign your signing of this Agreement to revoke the ADEA Waiver this Agreement (by providing in a written notice of your revocation sent to the Company’s CEO); and (ve) this Agreement will not be effective until the date upon which the revocation period has expired, which will be the eighth day after the date that this Agreement is has been signed both by you and by me, provided that you do not revoke it (the “Effective Date”).

ADEA Waiver. You acknowledge and agree that you are knowingly and voluntarily waiving and releasing any rights you may have under the ADEA (the “ADEA Waiver”)ADEA, as amended. You also acknowledge and agree that the consideration given provided for in this Agreement is sufficient consideration for the ADEA Waiver Release and is in addition to anything of value to which you are were already entitled. You further acknowledge and agree that you have been advisedadvised by this section of the Agreement, as required by the ADEA, that: (ia) your ADEA Waiver does waiver and release do not apply to any rights or claims that may arise after the execution date that you sign of this Agreement; (iib) you should have the right to consult with an attorney prior to signing executing this Agreement; (c) you have up to forty-five (45) days from the date of this Agreement to execute this Agreement (although you may choose to voluntarily not to do so); (iii) you have twenty-one (21) days to consider execute this Agreement (although you may choose voluntarily to sign it earlier); (ivd) you have seven (7) days following the date you sign execution of this Agreement by the parties to revoke the ADEA Waiver (by providing written notice of your revocation to the Company’s CEO)Agreement; and (ve) this Agreement will not be effective until the date upon which the revocation period has expired, which will be the eighth day after the date that this Agreement is signed executed by you you, provided that you do not revoke it the Company has also executed this Agreement by that date (the “Effective Date”); and (f) this Agreement does not affect your ability to test the knowing and voluntary nature of this Agreement.

ADEA Waiver. You acknowledge that you are knowingly and voluntarily waiving and releasing any rights you may have under the ADEA (the “ADEA Waiver”)ADEA, and that the consideration given for the ADEA Waiver waiver and release in this Section is in addition to anything of value to which you are already Xxxxx Xxxxxxxxxxxx entitled. You further acknowledge that you have been advised, as required by the ADEA, that: (i) your ADEA Waiver does waiver and release do not apply to any rights or claims that may arise after the date that you sign this Agreement; (ii) you should consult with an attorney prior to signing this Agreement (although you may choose voluntarily not to do so); (iii) you have twenty-one (21) days to consider this Agreement (although you may choose voluntarily to sign it earlier); (iv) you have seven (7) days following the date you sign this Agreement to revoke the ADEA Waiver it (by providing written notice of your revocation to the Company’s CEOme); and (v) this Agreement will not be effective until the date upon which the revocation period has expired, which will be the eighth day after the date that this Agreement is signed by you provided that you do not revoke it (the “Effective Date”).

You acknowledge that that, by giving the general release above, you are knowingly and voluntarily waiving and releasing any rights you may have under the ADEA (the “ADEA Waiver”)ADEA, and that the consideration given for the ADEA Waiver waiver and releases you have given in this Agreement is in addition to anything of value to which you are were already entitled. You further acknowledge that you have been advised, as required by the ADEA, that: (ia) your ADEA Waiver waiver and release does not apply to any rights or claims that may arise arising after the date that you sign this Agreement; (iib) you should consult with an attorney prior to signing this Agreement (although you may choose voluntarily not to do so); (iiic) you have twenty-one (21) days to consider this Agreement (although you may choose voluntarily to sign it earliersooner); (ivd) you have seven (7) days following the date you sign this Agreement to revoke the ADEA Waiver this Agreement (by providing in a written notice of your revocation sent to the Company’s CEOChief Executive Officer); and (ve) this Agreement will not be effective until the date upon which the revocation period has expired, which will be the eighth day after the date that you sign this Agreement is signed by you Agreement, provided that you do not revoke it (the “Effective Date”).

You further acknowledge that you have been advised, as required by the ADEA, that: (i) your ADEA Waiver does not apply to any rights or claims that may arise after the date that you sign this Agreement; (ii) you should consult with an attorney prior to signing this Agreement (although you may choose voluntarily not to do so); (iii) you have twentyforty-one five (2145) days to consider this Agreement (although you may choose voluntarily to sign it earlier); (iv) you have seven (7) days following the date you sign this Agreement to revoke the ADEA Waiver it (by providing written notice of your revocation to the Company’s CEOme); and (v) this Agreement will not be effective until the date upon which the revocation period has expired, which will be the eighth day after the date that this Agreement is signed by you provided that you do not revoke it (the “Effective Date”).. You also hereby further acknowledge that the Company has provided you with the ADEA disclosure information (under 29 U.S.C. § 626(f)(1)(H)), attached hereto as Exhibit B.
