Adequate Consideration and Fairness Opinion. A written opinion ------------------------------------------- shall have been delivered to the Special Trustee of the Community ESOP by its independent financial advisor to the effect specified in Section 6.13(b)(iii). -------------------- Such opinion shall (i) be in form and substance satisfactory to First Financial and its counsel, (ii) be dated as of a date not later than the mailing date of the proxy statement-prospectus relating to the Merger to be mailed to Community's shareholders, and (iii) updated or confirmed in writing as of the Effective Time.
