Adherence to Code of Ethics and Xxxxxxx Xxxxxxx Policy. The Executive represents and warrants that he has received a copy of the Company’s Code of Ethics and its Xxxxxxx Xxxxxxx Policy. The Executive covenants and agrees to adhere to both the Code of Ethics and the Xxxxxxx Xxxxxxx Policy as may be amended from time to time. The Executive acknowledges that a material violation of either the Code of Ethics or the Xxxxxxx Xxxxxxx Policy would constitute a material breach of this Employment Agreement.
