Common use of Adjusted Indemnity Clause in Contracts

Adjusted Indemnity. If the Buyer and the Seller are both determined to have been negligent parties or to have engaged in willful misconduct in a manner addressed by subpart (e) hereof, the obligations to indemnify of the Seller and the Buyer shall be appropriately adjusted based on the percentage of the responsibility of each Party for such loss or indemnification event.
