Adjustment for Clean Energy Standard Tier 1 REC Purchase Obligations. The Parties agree and acknowledge that the Fixed Price set forth below includes Tier 1 REC purchases at a rate of $0.0030/kWh in anticipation of compliance obligations under the Clean Energy Standard (CES) Tier 1 Renewable Energy Standard. In the event that final obligations established by the State result in a material change to this rate, upward or downward, such changes shall be deemed a Regulatory Event as that term is defined in this ESA and the Parties agree to amend this Exhibit A to reflect the cost impact of such Regulatory Event.
