ADJUSTMENT TO EXCHANGE RATIO DEFINITIONS. Pursuant to the terms of the Agreement, the Parties hereby acknowledge and agree that, notwithstanding anything to the contrary set forth in the Agreement, as of the date hereof, (a) the AIC Common Exchange Ratio shall be 0.1142909; (b) the AIC Series A Preferred Exchange Ratio shall be 0.3033634; and (c) the AIC Series A-1 Preferred Ratio shall be 0.3033634.
