Series A Preferred Exchange Ratio definition

Series A Preferred Exchange Ratio is defined in Section 2.02(d).
Series A Preferred Exchange Ratio means the number of HRB Preferred Shares that are issued for a Series A GFH Preferred Share pursuant to Section 2.1(b)(i) hereof.
Series A Preferred Exchange Ratio means the quotient obtained by dividing the Series A Allocation Number by the Aggregate Series A Number.

  • No fractional shares shall be issuable upon exercise of the Series A Preferred Option, and if the number of Series A Shares to be issued in accordance with the Series A Preferred Exchange Ratio is other than a whole number, the Company shall pay to Biodiscovery an amount in cash equal to the fair market value of the resulting fractional share on the exercise date.
