The Company shall not, directly or indirectly, -------------------------------------------- not take any action action, or permit any change to occur, with respect to the Registrable Securities as a class that its securities which would adversely affect the ability of the Holders holders of Registrable Securities to include such Registrable Securities in a registration undertaken pursuant to this AgreementAgreement or which would adversely affect the marketability of such Registrable Securities in any such registration.

Adjustments Affecting Registrable Securities. The Company -------------------------------------------- shall not, directly or indirectly, take any action with respect to the Registrable Securities as a class that would adversely affect the ability of the Holders of Registrable Securities to include such Registrable Securities in a registration undertaken pursuant to this Agreement.

The Company shall not, directly or indirectly, not knowingly take any action action, or permit any change to occur, with respect to the Registrable Securities as a class that its securities which would adversely affect the ability of the Holders holders of Registrable Securities to include such Registrable Securities in a registration undertaken pursuant to this AgreementAgreement or which would adversely affect the marketability of such Registrable Securities in any such registration (including, without limitation, effecting a stock split or a combination of shares).
