Common use of Adjustments to Exchange Ratio Clause in Contracts

Adjustments to Exchange Ratio. The Exchange Ratio shall be adjusted to reflect appropriately the effect of any forward or reverse stock split, stock dividend (including any dividend or distribution of convertible securities), extraordinary cash dividends, reorganization, recapitalization, reclassification, combination, exchange of shares or other like change with respect to Company Common Stock occurring on or after the date hereof and prior to the Effective Time.

Adjustments to Exchange Ratio. The Exchange Ratio shall be adjusted in accordance with the last sentence of Section 2.6(f) and shall be equitably adjusted to reflect appropriately fully the effect of any forward or reverse stock split, reverse split, stock dividend (including any dividend or distribution of convertible securities)combination, extraordinary cash dividendsstock dividend, reorganization, recapitalization, reclassification, combination, exchange of shares recapitalization or other like change with respect to Company Common FRT Stock occurring on or RedChip Stock after the date hereof and prior to the Effective Time.

Adjustments to Exchange Ratio. The Without derogating from Sections 4.1 and 4.2, the Exchange Ratio shall be adjusted to reflect appropriately the effect of any forward or reverse stock split, stock dividend (including any dividend or distribution of convertible securities), extraordinary cash dividends, reorganization, recapitalization, reclassification, combination, exchange of shares or other like change with respect to Company Ordinary Shares and the OPLI Common Stock occurring on or after the date hereof and prior to the Effective Time.

The Exchange Ratio shall be equitably adjusted to reflect appropriately fully the effect of any forward or reverse stock split, reverse split, stock combination, stock dividend (including any dividend or distribution of securities convertible securitiesinto Parent Common Stock or Company Stock), extraordinary cash dividends, reorganization, recapitalization, reclassification, combination, exchange of shares recapitalization or other like change with respect to Company Parent Common Stock occurring on or Company Stock the effective date of which occurs after the date hereof and prior to the Effective Time.

Adjustments to Exchange Ratio. The Exchange Ratio shall be adjusted adjusted: (i) based on the Closing Price (as defined below) as set forth in Exhibit B hereto, and (ii) to reflect appropriately fully the effect of any forward or stock split, reverse stock split, stock dividend (including any dividend or distribution of securities convertible securitiesinto Acquiror Common Stock or Target Capital Stock), extraordinary cash dividends, reorganization, recapitalization, reclassification, combination, exchange of shares recapitalization or other like change with respect to Company Acquiror Common Stock or Target Capital Stock occurring on or after the date hereof and prior to the Effective Time.
