Common use of Adjustments to Exchange Ratio Clause in Contracts

Adjustments to Exchange Ratio. The Exchange Ratio shall be adjusted to reflect fully the effect of any stock split, reverse split, stock dividend (including any dividend or distribution of securities convertible into Arbor Common Stock or Hyperion Common Stock), reorganization, recapitalization or other like change with respect to Arbor Common Stock or Hyperion Common Stock occurring after the date hereof and prior to the Effective Time.

Adjustments to Exchange Ratio. The Exchange Ratio shall be adjusted to reflect fully the appropriate effect of any stock split, reverse stock split, stock dividend (including any dividend or distribution of securities convertible into Arbor HP Common Stock or Hyperion Compaq Common Stock), reorganization, recapitalization recapitalization, reclassification or other like change with respect to Arbor HP Common Stock or Hyperion Compaq Common Stock occurring having a record date on or after the date hereof and prior to the Effective Time.

The Exchange Ratio shall be adjusted to reflect fully appropriately the effect of any stock split, reverse split, stock dividend (including any dividend or distribution of securities convertible into Arbor Common Stock or Hyperion Common Stock)dividend, reorganization, recapitalization recapitalization, reclassification or other like change with respect to Arbor Common Stock Micro Magic common stock or Hyperion Common Stock Company common stock occurring on or after the date hereof and prior to the Effective Time.

The Exchange Ratio shall be adjusted to reflect fully the effect of any stock split, reverse split, stock dividend (including any dividend or distribution of securities convertible into Arbor AMVESCAP Ordinary Shares or Trimark Common Stock or Hyperion Common StockShares, other than stock dividends paid in lieu of ordinary course dividends), reorganization, recapitalization or other like change with respect to Arbor AMVESCAP Ordinary Shares or Trimark Common Stock or Hyperion Common Stock Shares occurring after the date hereof of the Merger Agreement and prior to the Effective Time.

The Exchange Ratio shall be adjusted to reflect fully appropriately the effect of any stock split, reverse stock split, stock dividend (including any dividend or distribution of securities convertible into Arbor Parent Common Stock or Hyperion Telemate Common Stock), extraordinary cash dividends, reorganization, recapitalization recapitalization, reclassification, combination, exchange of shares or other like change with respect to Arbor Parent Common Stock or Hyperion Telemate Common Stock occurring on or after the date hereof and prior to the Effective Time.

Adjustments to Exchange Ratio. The Exchange Ratio shall be appropriately adjusted to reflect fully the effect of any stock split, reverse stock split, stock dividend (including any dividend or distribution of securities convertible into Arbor Common Stock Holding Company Shares or Hyperion B2B Common Stock), reorganization, recapitalization or other like change with respect to Arbor Common Stock or Hyperion Common Stock Holding Company Shares occurring after the date hereof and prior to the Effective Time.

The Exchange Ratio shall be adjusted to reflect fully appropriately the effect of any stock split, reverse stock split, stock dividend (including any dividend or distribution of securities convertible into Arbor Parent Common Stock or Hyperion Company Common StockShares), extraordinary cash dividends, reorganization, recapitalization recapitalization, reclassification, combination, exchange of shares or other like change with respect to Arbor Parent Common Stock or Hyperion Company Common Stock Shares occurring on or after the date hereof and prior to the Effective Time.
