Common use of Adjustments Upon Change in Capitalization Clause in Contracts

Adjustments Upon Change in Capitalization. The terms of this Agreement, including the Performance Shares, the Participant’s Performance Share Account, any dividend equivalent payments accrued pursuant to Section 7, and/or the Shares, will be subject to adjustment in accordance with Section 13 of the Plan. This paragraph will also apply with respect to any extraordinary dividend or other extraordinary distribution in respect of the Common Stock (whether in the form of cash or other property).
