Common use of Administrative Agent and its Affiliates Clause in Contracts

Administrative Agent and its Affiliates. With respect to its Commitment, the Advances made by it and the Notes issued to it, the Administrative Agent shall have the same rights and powers under this Agreement as any other Bank and may exercise the same as though it were not the Administrative Agent. The term “Bank” or “Banks” shall, unless otherwise expressly indicated, include the Administrative Agent in its individual capacity. The Administrative Agent and its Affiliates may accept deposits from, lend money to, act as trustee under indentures of, and generally engage in any kind of business with, the Borrower or any of its Subsidiaries, and any Person who may do business with or own securities of the Borrower or any such Subsidiary, all as if the Administrative Agent were not the Administrative Agent hereunder and without any duty to account therefor to the Banks.

Administrative Agent and its Affiliates. With respect to its Commitment, Commitments and the Advances made by it and the Notes issued to it, the Person serving as Administrative Agent shall have the same rights and powers in its capacity as a Lender under this Agreement as any other Bank Lender and may exercise the same as though it were not the Administrative Agent. The Administrative Agent Such Person and its Affiliates may accept deposits from, lend money to, act as trustee under indentures of, own securities of, act as the financial advisor for, accept investment banking engagements from and generally engage in any kind of business with, the Borrower or Borrower, any Lender and any of its Subsidiaries, and any Person who may do business with their respective Subsidiaries or own securities of the Borrower or any such Subsidiary, all Affiliates thereof as if the Administrative Agent such Person were not the Administrative Agent hereunder and without any duty to account therefor to the BanksLenders.

With If Administrative Agent is a Bank, then with respect to its Commitment, the Advances Loans made by it and the Notes Note issued to itit as a Bank, the Administrative Agent shall have the same rights and powers under this Agreement or the other Loan Documents as any other Bank and may exercise the same as though it were not the Administrative Agent. The term “Bank” or “Banks” shall, unless otherwise expressly indicated, include the each Administrative Agent in its individual capacity. The Administrative Agent and its Affiliates may accept deposits from, lend money to, act as trustee under indentures of, and generally engage in any kind of business withwith Borrowers, the Borrower or any of its Subsidiaries, their respective Subsidiaries and any Person who may do business with or own securities of the Borrower or Borrowers, any such Subsidiaryof its respective Subsidiaries, all as if the Administrative Agent were not the Administrative Agent hereunder and without any duty to account therefor to the Banks.
