Common use of Administrative Agent and Representative Clause in Contracts

Administrative Agent and Representative. It is understood and agreed that (a) the Administrative Agent is entering into this Agreement in its capacity as administrative agent and collateral agent under the Credit Agreement and the provisions of Article IX of the Credit Agreement applicable to the Agents (as defined therein) thereunder shall also apply to the Administrative Agent hereunder and (b) [ ] is entering into this Agreement in its capacity as [Administrative Agent] [Trustee] under [credit agreement] [indenture] (the [“Additional Administrative Agent”] [“Trustee”]) and the provisions of Article [ ] of such indenture applicable to the Trustee thereunder shall also apply to the [Additional Administrative Agent] [Trustee] hereunder.

It is understood and agreed that (a) the Administrative Trustee and the Notes Collateral Agent is are entering into this Agreement in its capacity their capacities as administrative agent trustee and collateral agent under the Credit Agreement Indenture and the provisions of Article IX VII of the Credit Agreement Indenture applicable to the Agents Trustee and Notes Collateral Agent (each as defined therein) thereunder shall also apply to the Administrative Agent it hereunder and (b) [ ] is entering into this Agreement in its capacity as [Administrative Agent] [Trustee] under [credit agreement] [indenture] (the [“Additional Administrative Agent”] [“Trustee”]) and the provisions of Article [ ] of such indenture [credit agreement] [indenture] applicable to the Trustee [ ] (as defined therein) thereunder shall also apply to it hereunder2. 2 Include similar acknowledgements for the [Initial Additional Administrative Authorized Representative and each Additional Authorized Representative and Additional Collateral Agent] [Trustee] hereunder.
