Common use of Administrative Agent Authorization Clause in Contracts

Administrative Agent Authorization. After the occurrence and during the continuance of any Event of Default under Section 9.01(f) or (g) with respect to a Loan Party or following the taking by the Administrative Agent of any or all of the actions set forth under Section 9.02, the Administrative Agent is authorized and empowered (but without any obligation to so do), in its discretion, (i) in the name of each Guarantor, to collect and enforce, and to submit claims in respect of, Subordinated Obligations and to apply any amounts received thereon to the Obligations (including any and all Post Petition Interest), and (ii) to require each Guarantor (A) to collect and enforce, and to submit claims in respect of, Subordinated Obligations and (B) to pay any amounts received on such obligations to the Administrative Agent for application to the Obligations (including any and all Post Petition Interest).

Administrative Agent Authorization. After the occurrence and during the continuance of any Event of Unmatured Default under Section 9.01(f) or (g) with respect to a Loan Party or following including the taking by the Administrative Agent commencement and continuation of any or all of proceeding under any Bankruptcy Law relating to any other the actions set forth under Section 9.02Guaranteed Borrower), the Administrative Agent is authorized and empowered (but without any obligation to so do), in its discretion, (i) in the name of each the Guarantor, to collect and enforce, and to submit claims in respect of, Subordinated Obligations and to apply any amounts received thereon to the Guaranteed Obligations (including any and all Post Petition Interest), and (ii) to require each the Guarantor (A) to collect and enforce, and to submit claims in respect of, Subordinated Obligations and (B) to pay any amounts received on such obligations to the Administrative Agent for application to the Guaranteed Obligations (including any and all Post Petition Interest).

After the occurrence and during the continuance of any Event of Specified Default under Section 9.01(f) or (g) with respect to a Loan Party or following including, without limitation, the taking by the Administrative Agent commencement and continuation of any or all of proceeding under any Debtor Relief Law relating to the actions set forth under Section 9.02Borrower), the Administrative Agent is authorized and empowered (but without any obligation to so do), in its discretion, (i) in the name of each the Guarantor, to collect and enforce, and to submit claims in respect of, Subordinated Obligations and to apply any amounts received thereon to the Guaranteed Obligations (including including, without limitation, any and all Post Petition Interest), and (ii) to require each the Guarantor (A) to collect and enforce, and to submit claims in respect of, Subordinated Obligations and (B) to pay any amounts received on such obligations to the Administrative Agent for application to the Guaranteed Obligations (including including, without limitation, any and all Post Petition Interest).
