Common use of Administrative Agent May Assign Clause in Contracts

Administrative Agent May Assign. Each Pledgor agrees that upon any sale or transfer by Administrative Agent or Lenders of the Loan Documents and the indebtedness evidenced thereby, Administrative Agent may deliver to the purchaser or transferee the Collateral, who shall thereupon become vested with all powers and rights given to Administrative Agent in respect thereto, and Administrative Agent shall be thereafter forever relieved and fully discharged from any liability or responsibility in connection therewith.

Each Pledgor agrees that upon any sale or transfer by Administrative Agent or Lenders any Lender of the Loan Credit Documents and the indebtedness evidenced therebythereby that is permitted under the Term Loan Agreement, Administrative Agent or such Lender may deliver the Collateral disposed of as part of such a sale or transfer to the purchaser or transferee the Collateraltransferee, who shall thereupon become vested with all powers and rights given to Administrative Agent or such Lender in respect thereto, and Administrative Agent or such Lender shall be thereafter forever relieved and fully discharged from any liability or responsibility in connection therewith.
