Adverse Circumstances. (a) The Sellers and the Company shall promptly notify Buyer, as soon as any of them obtains knowledge, of any facts, circumstances or occurrences which have adversely affected or might reasonably be expected to adversely affect the business, properties, assets, financial condition or prospects of the Company or which could or reasonably might be expected to cause any of their representations, warranties or agreements in this Agreement to be untrue, incorrect or inaccurate in any material respect.
