Adverse Impact Sample Clauses

Adverse Impact. Unless otherwise provided for in this Agreement, if the Company (i) makes any change to its processes, procedures, practices, networks, equipment, configurations, or systems and (ii) such change has a material adverse impact on Provider’s ability to provide any of the Services, Provider shall be excused from performing any such affected Services until the Company adequately, in Provider’s reasonable discretion, mitigates the material adverse impact of such change on the Provider’s ability to provide such Services, and the Company shall be responsible for all expenses, if any, incurred by Provider directly as a result of the cessation and, if applicable, the resumption of the affected Service (“Affected Service Expense”).

Adverse Impact. If any part of the Property shall be taken by shall be taken or condemned by any action or proceeding brought for the purpose of any taking of the fee of the Property or any part thereof, or interest therein, by competent authority as a result of the exercise of the power of eminent domain, including a voluntary sale to such authority either under threat of condemnation or while such action or proceeding is pending, which partial taking renders the Premises unsuitable for operation of the business of Lessee in Lessee's opinion, Lessee shall have the right, at the Lessee’s election evidenced by prior written notice to Lessor given within thirty (30) days after vesting date, to cancel and terminate this Lease.

Adverse Impact a. If a facility experiences adverse impact pursuant to 5 USC 6131 with either the AWS or credit hours, negotiations in accordance with Article 47 - Mid- Term Bargaining of the Master Agreement will begin immediately in an attempt to resolve the impact to both parties’ satisfaction.

Adverse Impact. Sprint reasonably believes that the use of the Sprint Primary Marks, Technology (to the extent part of the Licensed Services Framework), Technical Know-How (to the extent part of the Licensed Services Framework), or equipment, software or systems to be used by Call-Net in the deployment of the service: (a) will adversely impact the value of the Sprint Primary Marks; (b) subject to the exceptions provided for “Functionally equivalent and seamless” Licensed Services provided in Section 8.1(i), (ii) and (iv), will not meet the quality and performance standards described in this agreement; (c) with respect to the Authorized Marks, will vary from the Brand Identity Standards; or (d) subject to the exceptions provided for “Functionally equivalent and seamless” Licensed Services provided in Section 8.1(i), (ii) and (iv), with respect to Technology and Technical Know-How, will materially vary from the guidelines set forth in Sprint’s or Sprint’s Affiliates’ Documentation relating to the Technology and Technical Know-How.
