Common use of Affiliate Use Clause in Contracts

Affiliate Use. Affiliates’ Use of the Software, Documentation and other SAP Materials to run their internal business operations as permitted under Section 2.1.1 is subject to the following: (i) Licensee ensures that the Affiliate agrees in writing to comply with the terms of this Agreement; and (ii) a breach of the Agreement terms by Affiliate shall be considered a breach by Licensee hereunder. If Licensee has an affiliate or subsidiary with a separate license or support agreement for SAP software with any member of the SAP Group or any other distributor of SAP software, the Software shall not be Used to run such affiliate’s or subsidiary’s business operations even if such separate agreement has expired or is terminated, unless otherwise agreed to in writing by the parties.

Affiliate Use. Affiliates’ Use of the Software, Documentation and other SAP Materials to run their internal business operations as permitted under Section 2.1.1 is subject to the following: (i) Licensee ensures that the Affiliate agrees agree in writing to comply with the terms of this Agreement; and (ii) a breach of the Agreement terms by Affiliate shall be considered a breach by Licensee hereunder. If Licensee has an affiliate or subsidiary with a separate license or support agreement for SAP software with SAP SE, any member of the SAP Group SE affiliate (including SAP) or any other distributor of SAP software, the Software shall not be Used to run such affiliate’s or subsidiary’s business operations and such affiliate or subsidiary shall not receive any support services under this Agreement even if such separate agreement has expired or is terminated, unless otherwise agreed to in writing by the parties.

Affiliates’ Use of the Software, Documentation Software and other SAP Materials (applicable to the Software) to run their internal business operations as permitted under Section 2.1.1 is subject to the following: : (ia) Licensee Customer ensures that the Affiliate agrees in writing to comply with the terms of this the Agreement; and and (iib) a breach of the terms of the Agreement terms by Affiliate shall be considered a breach by Licensee hereunderCustomer. 2.2.2. If Licensee Customer has an affiliate or subsidiary Affiliate with a separate software license or SAP support agreement for with SAP software with SE, any member of the SAP Group SE Affiliate (including SAP) or any other distributor partner of SAP software(“Separate Agreement”), the Software shall must not be Used to run such affiliate’s or subsidiaryAffiliate’s business operations even if such separate agreement the Separate Agreement has expired or is terminated, unless otherwise agreed to in writing by the parties.

Affiliate Use. Affiliates’ Use of the Software, Documentation and other SAP Materials to run their internal business operations as permitted under Section 2.1.1 is subject to the following: (i) Licensee ensures that the Affiliate agrees in writing to comply with be bound by the terms herein in the form of this Schedule A (“Affiliate Use Agreement”) attached hereto; and (ii) a breach of the such Affiliate Use Agreement terms by Affiliate shall be considered a breach by Licensee hereunder. If Licensee has an affiliate or subsidiary with a separate license or support agreement for SAP software licenses and/or support services with SAP AG, any member of the SAP Group AG affiliate (including SAP) or any other distributor of SAP software, the Software shall not be Used to run such affiliate’s or subsidiary’s business operations and such affiliate or subsidiary shall not receive any support services under this Agreement even if such separate agreement has expired or is terminated, unless otherwise agreed to in writing by the parties.
