Common use of Affiliate Use Clause in Contracts

Affiliate Use. Affiliates’ Use of the Software, Documentation and other SAP Materials to run their internal business operations as permitted under Section 2.1.1 is subject to the following: (i) Licensee ensures that the Affiliate agree in writing to comply with the terms of this Agreement; and (ii) a breach of such Affiliate Use Agreement by Affiliate shall be considered a breach by Licensee hereunder. If Licensee has an affiliate or subsidiary with a separate agreement for SAP software licenses and/or support services with SAP SE, any SAP SE affiliate (including SAP) or any other distributor of SAP software, the Software shall not be Used to run such affiliate’s or subsidiary’s business operations and such affiliate or subsidiary shall not receive any support services under this Agreement even if such separate agreement has expired or is terminated, unless otherwise agreed to in writing by the parties.

Affiliate Use. Affiliates’ Affiliates may Use of the Software, Documentation and other SAP Materials to run their internal business operations as permitted under Section 2.1.1 is subject to the followingSoftware provided that: (i) Licensee ensures that the has registered each such Affiliate agree with SAP as an Affiliate in writing accordance with SAP’s process for such registration prior to comply with the terms of this AgreementUse by such Affiliate; and (ii) a breach of such Affiliate Use Agreement any terms hereunder or the terms of the registration by Affiliate shall be considered a breach by Licensee hereunder; and (iii) the Software shall not be installed at an Affiliate site. If Licensee has an affiliate or subsidiary with a separate license or support agreement for SAP software licenses and/or support services with SAP SE, any SAP SE affiliate (including SAP) or any other distributor of SAP software, the Software shall not be Used to run such affiliate’s or subsidiary’s business operations and such affiliate or subsidiary shall not receive any support services under this Agreement even if such separate agreement has expired or is terminated, unless otherwise agreed to in writing by the parties.

If Licensee has an affiliate or subsidiary with a separate agreement for SAP software licenses and/or support services with SAP SEAG, any SAP SE AG affiliate (including SAP) or any other distributor of SAP software, the Software shall not be Used to run such affiliate’s or subsidiary’s business operations and such affiliate or subsidiary shall not receive any support services under this Agreement even if such separate agreement has expired or is terminated, unless otherwise agreed to in writing by the parties.
