Common use of Affiliates and Contractors Clause in Contracts

Affiliates and Contractors. The license granted to Licensee under Section 2.1 includes the right to have some or all of Licensee’s rights under Section 2.1 exercised or performed by one or more of Licensee’s Affiliates and/or contractors on Licensee’s behalf for Licensee’s benefit without such right being deemed a sublicense; provided, however, that: 2.3.1. no such Affiliate or contractor shall be entitled to grant, directly or indirectly, to any third party any right of whatever nature under, or with respect to, or permitting any use or exploitation of, any of the Patent Rights or Technology Transfer Material, including any right to develop, manufacture, market, sell or provide Licensed Products; and 2.3.2. any act or omission taken or made by an Affiliate or contractor of Licensee under this Agreement will be deemed an act or omission by Licensee under this Agreement.
