Affiliates, Subsidiaries and Related Parties. 关联公司、子公司及其他关联方 The provisions of this Article shall be applicable to any related party and any subcontractor. Disclosure to any related party or subcontractor shall be treated as a violation of this Article and use, competition or circumvention by any related party or subcontractor shall be treated as a violation of this Article. BUYER shall pay all costs related to such Tooling. Upon full payment of such costs the Tooling shall be treated as the property of BUYER. As new Tooling is produced, each new Tooling item shall be entered onto the Tooling List as Exhibit Three (3) attached or on a separate memorandum. Buyer shall retain a 100% ownership interest in all Tooling items listed on the Tooling List or any related memorandum. All tooling in the possession of Manufacturer shall be clearly marked as the property of Buyer by a permanent method appropriate to the specific Tooling item to be agreed by the parties. Related to Affiliates, Subsidiaries and Related Parties

  • Subsidiaries All of the direct and indirect subsidiaries of the Company are set forth on Schedule 3.1(a). The Company owns, directly or indirectly, all of the capital stock or other equity interests of each Subsidiary free and clear of any Liens, and all of the issued and outstanding shares of capital stock of each Subsidiary are validly issued and are fully paid, non-assessable and free of preemptive and similar rights to subscribe for or purchase securities. If the Company has no subsidiaries, all other references to the Subsidiaries or any of them in the Transaction Documents shall be disregarded.

  • Affiliates The Borrower will not, and will not permit any Subsidiary to, enter into any transaction (including, without limitation, the purchase or sale of any Property or service) with, or make any payment or transfer to, any Affiliate except in the ordinary course of business and pursuant to the reasonable requirements of the Borrower's or such Subsidiary's business and upon fair and reasonable terms no less favorable to the Borrower or such Subsidiary than the Borrower or such Subsidiary would obtain in a comparable arms-length transaction.

  • Women- and Minority-Owned Businesses (W/MBE) The Subrecipient will use its best efforts to afford small businesses, minority business enterprises, and women’s business enterprises the maximum practicable opportunity to participate in the performance of this contract. As used in this cataract, the terms “small business” means a business that meets the criteria set forth in section 3(a) of the Small Business Act, as amended (15 U.S.C. 632), and “minority and women’s business enterprise” means a business at lease fifty-one (51) percent owned and controlled by minority group members or women. For the purpose of this definition, “minority group members” are Afro- Americans, Spanish-speaking, Spanish surnamed or Spanish-heritage Americans, Asian-Americans and American Indians.
