After the Agreement Effective Date. After the Agreement Effective Date, the Trust will furnish or make available to Distributor any material amendments to the items listed in Section 15.1 and promptly provide notice of the following: A. any material correspondence or other communication by the SEC, FINRA, any government or self-regulatory organization or its staff relating to the Funds including any related to examinations of the Fund and any requests by the SEC for amendments to the Registration Statement or any advertising or sales literature; Ultimus Distribution Agreement September 22, 2023 B. the happening of any event which makes untrue any statement of material fact made in the Registration Statement or which requires the making of a change in such Registration Statement in order to make the statements therein not misleading; C. if the Trust determines to suspend the sale of Shares at any time in response to conditions in the securities markets or otherwise or to suspend the redemption of Shares of any Fund at any time as permitted by Applicable Law, and
