After Twelve Years. For each PRODUCT in each country in the TERRITORY in which the twelve (12) year period provided for in Section 4.1(a) of this Agreement shall have terminated, CELGENE shall pay to ENTREMED the following royalties on the NET SALES of such PRODUCT covered by an ISSUED VALID CLAIM of the PATENT RIGHTS that are sold by CELGENE or its AFFILIATES in such country:
