Agent for Service. The agent for service of the Seller and the Servicer in respect of this Agreement shall be Executive Vice President and Treasurer, Mitsubishi Motors Credit of America, Inc., 0000 Xxxxxxx Xxxxxx, Xxxxxxx, Xxxxxxxxxx 00000-0000, mailing address: X.X. Agent for Service. Each New Guarantor hereby appoints CT Corporation as its authorized agent upon whom process may be served in any suit or proceeding arising out of or relating to the Indenture, the Securities or this Fourth Supplemental Indenture that may be instituted in any federal or state court in the State of New York or brought under federal or state securities laws.
Agent for Service. 24.1 ABT irrevocably appoints Skadden, Arps, Slate, Meagxxx & Xlom XXX of One Canada Square, Canaxx Xxxxx, Xxxxxx X00 0XX xx be its agent for the service of process in England. It agrees that any writ, summons, order, judgment or other document relating to or in connection with any Proceedings ("SERVICE DOCUMENT") may be effectively served on it in connection with Proceedings in England and Wales by service on its agent.
24.2 Any Service Document shall be deemed to have been duly served if marked for the attention of the Senior Resident Partner, Skadden, Arps, Slate, Meagxxx & Xlom XXX at One Canada Square, Canaxx Xxxxx, Xxxxxx X00 0XX xx such other address within England or Wales as may be notified and:
(A) left at the specified address; or
(B) sent to the specified address by first class post. In the case of (A), the Service Document shall be deemed to have been duly served when it is left. In the case of (B), the Service Document shall be deemed to have been duly served two clear Business Days after the date of posting.
24.3 If the agent at any time ceases for any reason to act as such, ABT shall appoint a replacement agent having an address for service in England or Wales and shall notify Inchcape of the name and address of the replacement agent. Failing such appointment and notification, the Company shall be entitled by notice to ABT to appoint a replacement agent to act on ABT's behalf. The provisions of this clause 24 applying to service on an agent apply equally to service on a replacement agent.
24.4 A copy of any Service Document served on an agent shall be sent by post to ABT. Failure or delay in so doing shall not prejudice the effectiveness of service of the Service Document.
Agent for Service. 26.1 Each of the SLPs irrevocably appoints GSK to be its agent for the receipt of Service Documents. Each such Party agrees that any Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent effected in any manner permitted by the Civil Procedure Rules.
26.2 If the agent at any time ceases for any reason to act as such, the SLPs shall each appoint a replacement agent having an address for service in England or Wales and shall notify Haleon of the name and address of the replacement agent. Failing such appointment and notification, Haleon shall be entitled by notice to each of the SLPs to appoint a replacement agent to act on behalf of the SLPs, provided that each SLP shall be entitled, by notice to Haleon, to replace that agent with a replacement agent having an address for service in England or Wales. The provisions of this clause 26 applying to service on an agent apply equally to service on a replacement agent.
26.3 A copy of any Service Document served on an agent appointed in accordance with clauses 26.1 or 26.2 shall be sent by post to the relevant SLP. Failure or delay in so doing shall not prejudice the effectiveness of service of the Service Document.
26.4 Without prejudice to clauses 26.1 to 26.3, any Party without an address for service in England or Wales shall appoint, and keep appointed at all times, an agent for service with an address for service in England or Wales and shall notify the other Parties of the name and address of its appointed agent for service. Failing such appointment and notification, Haleon (in the case of such failure by any of the SLPs) or the SLPs acting jointly (in the case of such failure by Haleon) shall be entitled by notice to such Party to appoint an agent to act on behalf of such Party, provided that such Party shall be entitled, by notice to the other Party (or Parties), to replace that agent with a replacement agent having an address for service in England or Wales. Such Party agrees that any Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent effected in any manner permitted by the Civil Procedure Rules.
Agent for Service. The agent for service of the Seller and the Servicer in respect of this Agreement shall be Hurlxx X. Sxxxx, Xxcretary, Ford Motor Credit Company, The Xxxxxxxx Xxxx, Xxxxxxxx, Xxxxxxxx 00000.
Agent for Service. Xxxxxx agrees that if Xxxxxx is in unlawful detainer, pursuant to Chapter 59.12 RCW, and Lessor is unable to serve Lessee with the unlawful detainer pleadings after one service attempt, then Lessor shall be deemed to have complied with the service requirements of Chapter 59.12 RCW if it mails such pleadings via certified mail to the address set forth in the notice section of this Lease and posts such pleadings in a conspicuous location on the Premises. Service shall be deemed complete on the third (3rd) day following the day of posting or day of mailing, whichever is later.
Agent for Service. The Borrower has irrevocably designated, appointed, and empowered CT Corporation System, with an office on the date hereof at 100 Xxxxxx Xxxxxx, Xxx Xxxx, Xxx Xxxx 00000 as its designee, appointee and agent to receive and accept for and on its behalf, service of any and all legal process, summons, notices and documents which may be served in any action, suit or proceedings brought against the Borrower in any United States or State of New York court. If for any reason such designee, appointee and agent hereunder shall cease to be available to act as such, the Borrower agrees to designate a new designee, appointee and agent in the Borough of Manhattan, The City of New York on the terms and for the purposes of this §14.15 satisfactory to the Administrative Agent. The Borrower further hereby irrevocably consents and agrees to the service of any and all legal process, summons, notices and documents in any action, suit or proceeding against the Borrower by serving a copy thereof upon the relevant agent for service of process referred to in this §14.15 (whether or not the appointment of such agent shall for any reason prove to be ineffective or such agent shall accept or acknowledge such service) or by mailing copies thereof by registered or certified air mail, postage prepaid, to the Borrower at its address specified in §14.7 hereof. The Borrower agrees that the failure of any such designee, appointee and agent to give any notice of such service to it shall not impair or affect in any way the validity of such service or any judgment rendered in any action or proceeding based thereon. Nothing herein shall in any way be deemed to limit the ability of the Lenders or the Administrative Agent to serve any such legal process, summons, notices and documents in any other manner permitted by applicable law or to obtain jurisdiction over the Borrower or bring actions, suits or proceedings against the Borrower in such other jurisdictions, and in such manner, as may be permitted by applicable law. Each of the Borrower, the Administrative Agent and the Lenders irrevocably and unconditionally waives, to the fullest extent permitted by law, any objection which they may now or hereafter have to the laying of venue of any of the aforesaid actions, suits or proceedings arising out of or in connection with this Reimbursement and Pledge Agreement or any other Loan Document brought in the United States Federal courts located in the Borough of Manhattan, The City of New York or the c...
Agent for Service. 15.1 Pfizer irrevocably appoints Pfizer Limited, c/o UK Legal Department, Pfizer Ltd (IPC 3-1), Walton Oaks, Dxxxxxx Xxxx, Xxxxxxxx, Xxxxxx XX00 0XX and the SLPs each irrevocably appoint GSK plc of 900 Xxxxx Xxxx Xxxx, Xxxxxxxxx, Xxxxxxxxx XX0 0XX to act as their respective agents for the receipt of Service Documents. The Appointers each agree that any Service Documents may be effectively served on them in connection with Proceedings in England and Wales by service on their respective agents effected in any manner permitted by the Civil Procedure Rules.
15.2 If an agent appointed under clause 15.1 at any time ceases for any reason to act as such, the Appointer whose agent has ceased to act as such shall promptly appoint a replacement agent having an address for service in England or Wales and shall notify the other Parties of the name and address of the replacement agent.
15.3 Where an Appointer fails to appoint a replacement agent in accordance with clause 15.2 any other Party shall be entitled to appoint a replacement agent to act on behalf of that Appointer by giving notice in writing of the name and address of the replacement agent to all other Parties (an “Appointment Notice”). Where multiple Parties each seek to appoint a replacement agent pursuant to this clause 15.3 the Party that first gives a valid Appointment Notice shall be deemed to have appointed the replacement agent specified in that Appointment Notice and any Appointment Notices given by other Parties in respect of that appointment shall be of no effect.
15.4 An Appointer shall be entitled at any time, by notice in writing to the other Parties, to replace an agent appointed by it in accordance with clause 15.3 with a replacement agent having an address for service in England or Wales. The provisions of this clause 15 applying to service on an agent apply equally to service on a replacement agent appointed under clauses 15.2, 15.3 or this clause 15.4.
15.5 A copy of any Service Document served on an agent or replacement agent (as applicable) appointed in accordance with clauses 15.1 to 15.4 (inclusive) shall be sent by post to that agent’s Appointer. Failure or delay in so doing shall not prejudice the effectiveness of service of the Service Document.
