Common use of Agent for Service Clause in Contracts

Agent for Service. 24.1 ABT irrevocably appoints Skadden, Arps, Slate, Meagxxx & Xlom XXX of One Canada Square, Canaxx Xxxxx, Xxxxxx X00 0XX xx be its agent for the service of process in England. It agrees that any writ, summons, order, judgment or other document relating to or in connection with any Proceedings ("SERVICE DOCUMENT") may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. 24.2 Any Service Document shall be deemed to have been duly served if marked for the attention of the Senior Resident Partner, Skadden, Arps, Slate, Meagxxx & Xlom XXX at One Canada Square, Canaxx Xxxxx, Xxxxxx X00 0XX xx such other address within England or Wales as may be notified and: (A) left at the specified address; or (B) sent to the specified address by first class post. In the case of (A), the Service Document shall be deemed to have been duly served when it is left. In the case of (B), the Service Document shall be deemed to have been duly served two clear Business Days after the date of posting. 24.3 If the agent at any time ceases for any reason to act as such, ABT shall appoint a replacement agent having an address for service in England or Wales and shall notify Inchcape of the name and address of the replacement agent. Failing such appointment and notification, the Company shall be entitled by notice to ABT to appoint a replacement agent to act on ABT's behalf. The provisions of this clause 24 applying to service on an agent apply equally to service on a replacement agent. 24.4 A copy of any Service Document served on an agent shall be sent by post to ABT. Failure or delay in so doing shall not prejudice the effectiveness of service of the Service Document.

Failing such appointment and notification, the Company other parties shall be entitled by notice to ABT the Purchaser to appoint a replacement agent to act on ABTthe Purchaser's behalf. The provisions of this clause 24 applying to service on an agent apply equally to service on a replacement agent. 24.4 (D) A copy of any Service Document served on an agent shall be sent by post to ABTthe Purchaser. Failure or delay in so doing shall not prejudice the effectiveness of service of the Service Document.

In the case of (A), the Service Document shall be deemed to have been duly served when it is left. In the case of (B), the Service Document shall be deemed to have been duly served two clear Business Days working days after the date day of posting; or (iii) sent by facsimile transmission, when the electronic acknowledgment is received by the sender. 24.3 (d) If either the agent of the Parties referred to in Section 12.1.3(b) (or any replacement agent appointed pursuant to this sub-section) at any time ceases for any reason to act as such, ABT the Parties (as the case may be) shall appoint a replacement agent to accept service having an address for service in England or Wales the United Kingdom and shall notify Inchcape the other party of the name and address of the replacement agent. Failing such appointment and notification, the Company shall be entitled by notice to ABT to appoint a replacement agent to act on ABT's behalf. The provisions of this clause 24 applying to service on an agent apply equally to service on a replacement agent. 24.4 A copy (e) In this Section 12.1.3: (i) “Proceedings” means any proceeding, action arising out of any or in connection with this Agreement, as contemplated by Clause 12.1.3(a); and (ii) “Service Document served on an agent shall be sent by post to ABT. Failure Document” means a writ, summons, order, judgment or delay in so doing shall not prejudice the effectiveness of service other process issued out of the Service Documentcourts of England in connection with any Proceedings.

It agrees that any Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. 23.3 Any Service Document shall be deemed to have been duly served (i) on JohnsonDiversey, if marked for the attention of the Senior Resident PartnerManaging Director of JohnsonDiversey UK Limited; and (ii) on NV, Skadden, Arps, Slate, Meagxxx & Xlom XXX if marked for the attention of the Corporate Counsel at One Canada Square, Canaxx Xxxxx, Xxxxxx X00 0XX xx such other address within England or Wales as may be notified andUnilever PLC; and in each case: (A) left at the address specified addressabove (in Clause 23.1, in respect of JohnsonDiversey, or in Clause 23.2 in respect of NV) or such other address within England and Wales as may be notified to the Party wishing to serve the Service Document; or (B) sent to the specified address by first class postpost to the address specified above (in Clause 23.1, in respect of JohnsonDiversey, or in Clause 23.2 in respect of NV) or such other address within England and Wales as may be notified to the Party wishing to serve the Service Document. In the case of a Service Document served pursuant to Clause 23.3 (A), the Service Document shall will be deemed to have been duly served when it is left. In the case of a Service Document served pursuant to Clause 23.3 (B), the Service Document shall be deemed to have been duly served two clear Business Days after the date of posting. 24.3 23.4 If the agent of JohnsonDiversey or NV at any time ceases for any reason to act as such, ABT that Party shall appoint a replacement agent having an address for service in England or Wales and shall notify Inchcape the other Party of the name and address of the replacement agent. Failing such appointment and notification, the Company other Party shall be entitled by notice Notice to ABT that Party to appoint a replacement agent to act on ABT's that Party’s behalf. The provisions of this clause 24 Clause 23 applying to service on an agent apply equally to service on a replacement agent. 24.4 23.5 A copy of any Service Document served on an agent shall be sent by post to ABTJohnsonDiversey or NV as appropriate. Failure or delay in so doing shall not prejudice the effectiveness of service of the Service Document.

Agent for Service. 24.1 ABT 25.1 Each Seller irrevocably appoints Skadden, Arps, Slate, Meagxxx & Xlom XXX Trusec Limited of One Canada Square, Canaxx Xxxxx2 Xxxxx Xxxxxxx, Xxxxxx X00 XX0X 0XX xx to be its agent for the receipt of service of process in England. It Each Seller agrees that any writ, summons, order, judgment or other document relating to or in connection with any Proceedings ("SERVICE DOCUMENT") Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. 24.2 25.2 Cendant Corporation irrevocably appoints Cendant Europe Limited (Attn: General Counsel) of Lxxxxxxx Xxxxx, Xxxxxxxxxxx Xxxxxx Xxxx, Xxxxxx X0 0XX to be its agent for the receipt of service of process in England. Cendant Corporation agrees that any Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. 25.3 Any Service Document shall be deemed to have been duly served if marked for the attention of the Senior Resident Partner, Skadden, Arps, Slate, Meagxxx & Xlom XXX at One Canada Square, Canaxx Xxxxx, Xxxxxx X00 0XX xx address of the relevant agent appointed under sub-clause 25.1 or 25.2 (as the case may be) or such other address within England or and Wales as may be notified to the party wishing to serve the Document and: (A) left at the specified address; or (B) sent to the specified address by first class post. In the case of (A), the Service Document shall will be deemed to have been duly served when it is left. In the case of (B), the Service Document shall be deemed to have been duly served two clear Business Days after the date of posting. 24.3 25.4 If the agent appointed under sub-clauses 25.1 or 25.2 at any time ceases for any reason to act as suchsuch for the relevant party, ABT that party shall appoint a replacement agent having an address for service in England or Wales and shall notify Inchcape the other parties of the name and address of the replacement agent. Failing such appointment and notification, the Company other parties shall be entitled by notice to ABT that party to appoint a replacement agent to act on ABT's that party’s behalf. The provisions of this clause 24 applying to service on an agent apply equally to service on a replacement agent. 24.4 25.5 A copy of any Service Document served on an agent shall be sent by post to ABTthe party that appointed the relevant agent. Failure or delay in so doing shall not prejudice the effectiveness of service of the Service Document.

It agrees that any writ, summons, order, judgment or other document relating to or in connection with any Proceedings ("SERVICE DOCUMENT") Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. 24.2 29.2 NV irrevocably appoints PLC to be its agent for the receipt of service of process in England. It agrees that any Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. 29.3 Any Service Document shall be deemed to have been duly served (i) on JohnsonDiversey, if marked for the attention of the Senior Resident PartnerManaging Director of JohnsonDiversey UK Limited; and (ii) on NV, Skadden, Arps, Slate, Meagxxx & Xlom XXX if marked for the attention of the Corporate Counsel at One Canada Square, Canaxx Xxxxx, Xxxxxx X00 0XX xx such other address within England or Wales as may be notified andUnilever PLC; and in each case: (A) left at the address specified addressabove (in Clause 29.1, in respect of JohnsonDiversey, or in Clause 21.1, in respect of NV) or such other address within England and Wales as may be notified to the Party wishing to serve the Service Document; or (B) sent to the specified address by first class postpost to the address specified above (in Clause 29.1, in respect of JohnsonDiversey, or in Clause 21.1, in respect of NV) or such other address within England and Wales as may be notified to the Party wishing to serve the Service Document. In the case of (Aa Service Document served pursuant to Clause 29.3(A), the Service Document shall will be deemed to have been duly served when it is left. In the case of (Ba Service Document served pursuant to Clause 29.3(B), the Service Document shall be deemed to have been duly served two clear Business Days after the date of posting. 24.3 29.4 If the agent of JohnsonDiversey or NV at any time ceases for any reason to act as such, ABT that Party shall appoint a replacement agent having an address for service in England or Wales and shall notify Inchcape the other Party of the name and address of the replacement agent. Failing such appointment and notification, the Company other Party shall be entitled by notice Notice to ABT that Party to appoint a replacement agent to act on ABT's that Party’s behalf. The provisions of this clause 24 Clause 29 applying to service on an agent apply equally to service on a replacement agent. 24.4 29.5 A copy of any Service Document served on an agent shall be sent by post to ABTJohnsonDiversey or NV as appropriate. Failure or delay in so doing shall not prejudice the effectiveness of service of the Service Document.

Agent for Service. 24.1 ABT 27.1 Each Seller irrevocably appoints Skadden, Arps, Slate, Meagxxx & Xlom XXX of One Canada Square, Canaxx Xxxxx, Xxxxxx X00 0XX xx the Company to be its agent for the receipt of service of process in England. It Each Seller agrees that any writ, summons, order, judgment or other document relating to or Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. Each Seller further agrees that, as soon as possible following the date of this Agreement (and in any Proceedings event prior to completion) they shall jointly appoint an independent process agent for service in accordance with clause 27.6. 27.2 The Purchaser irrevocably appoints eBay ("SERVICE DOCUMENT"UK) Limited of Carmelite, 50 Xxxxxxxx Xxxxxxxxxx, Xxxxxx XX0 to be its agent for the receipt of service of process in England. The Purchaser agrees that any Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. 24.2 27.3 The Sellers’ Representative irrevocably appoints Law Debenture of 5xx Xxxxx, 000 Xxxx Xxxxxx, Xxxxxx XX0X 0XX to be its agent for the receipt of process in England. The Sellers’ Representative agrees that any Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. 27.4 The Company irrevocably appoints Law Debenture of 5xx Xxxxx, 000 Xxxx Xxxxxx, Xxxxxx XX0X 0XX to be its agent for the receipt of process in England. The Company agrees that any Service Document may be effectively served on it in connection with Proceedings in England and Wales by service on its agent. 27.5 Any Service Document shall be deemed to have been duly served if marked for the attention of the Senior Resident Partner, Skadden, Arps, Slate, Meagxxx & Xlom XXX at One Canada Square, Canaxx Xxxxx, Xxxxxx X00 0XX xx address of the relevant agent appointed under sub-clause 27.1 or 27.2 or 27.3 (as the case may be) or such other address within England or and Wales as may be notified to the party wishing to serve the Service Document and: (Aa) left at the specified address; or (Bb) sent to the specified address by first class post. In the case of (Aa), the Service Document shall will be deemed to have been duly served when it is left. In the case of (Bb), the Service Document shall be deemed to have been duly served two three clear Business Days after the date of posting. 24.3 27.6 If the agent appointed under sub-clauses 27.1 or 27.2 or 27.3 at any time ceases for any reason to act as suchsuch for the relevant party, ABT that party shall appoint a replacement agent having an address for service in England or Wales and shall notify Inchcape the other parties of the name and address of the replacement agent. Failing such appointment and notification, the Company other parties shall be entitled by notice to ABT that party to appoint a replacement agent to act on ABT's that party’s behalf. The provisions of this clause 24 Clause applying to service on an agent apply equally to service on a replacement agent. 24.4 27.7 A copy of any Service Document served on an agent shall be sent by post to ABTthe party that appointed the relevant agent. Failure or delay in so doing shall not prejudice the effectiveness of service of the Service Document.
