Common use of Agent Right to Withhold Clause in Contracts

Agent Right to Withhold. If the Fiscal Agent is, in respect of any payment of principal or interest in respect of the Notes, compelled to withhold or deduct any amount for or on account of any taxes, duties, assessments or governmental charges as specifically contemplated under the Conditions, other than arising under Section 22(b) above or by virtue of the relevant holder failing to perform any certification or other requirement in respect of its Notes, it shall give notice thereof to the Issuer as soon as it becomes aware of such compulsion to withhold or deduct and may withhold or deduct such amounts in accordance with the relevant requirement by which it is compelled to do so and no amount shall be paid by such Agent to the Issuer in respect of that withholding or deduction.
