Common use of Agent Clause in Contracts

Agent. For purposes of this Agreement, the term “agent” of the Company means any person who: (i) is or was a director, officer, employee or other fiduciary of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, the Company or a subsidiary of the Company, as a director, officer, employee or other fiduciary of a foreign or domestic corporation, partnership, joint venture, trust or other enterprise.

Agent. For purposes of this Agreement, the term “agentAgent” of the Company means any person who: (i) is or was a director, officer, employee employee, agent, or other fiduciary of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, the Company or a subsidiary of the Company, as a director, officer, employee employee, agent, or other fiduciary of a foreign or domestic corporation, partnership, joint venture, trust or other enterprise.

Agent. For the purposes of this Agreement, the term “agent” of the Company means any person who: (i) who is or was a director, officer, employee director or other fiduciary an officer of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, of the Company or a subsidiary of the Company, Company as a director, officer, employee director or other fiduciary an officer of a another foreign or domestic corporation, partnership, joint venture, trust trust, or other enterprise or an affiliate of the Company. The term “enterprise” includes any employee benefit plan of the Company, its subsidiaries, affiliates, and predecessor corporations.

Agent. For purposes of this Agreement, the term “agentAgent” of the Company means any person who: (i) is or was a director, officer, employee employee, agent, or other fiduciary of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, the Company or a subsidiary of the Company, as a director, officer, employee employee, agent, or other fiduciary of a foreign or domestic corporation, partnership, joint venture, trust trust, employee benefit plan or other enterprise.

Agent. Agent. For the purposes of this Agreement, the term “agent” of the Company means any person who: (i) who is or was a director, officer, employee director or other fiduciary officer of the Company or a any subsidiary of the Company; or (ii) is or was serving at the request or of, for the convenience of, or representing to represent the interests of, interest of the Company or a any subsidiary of the Company, Company as a director, officer, employee director or other fiduciary officer of a another foreign or domestic corporation, partnership, joint venture, trust trust, other legal entity, or other enterprise or an affiliate of the Company. The term “enterprise” includes any employee benefit plan of the Company, its subsidiaries, affiliates and predecessor corporations.

Agent. For purposes of this Agreement, the term “"agent” " of the Company means any person who: who (i) is or was a director, officer, employee or other fiduciary agent of the Company or a subsidiary of the Company; Company or (ii) is or was serving at the request or of, for the convenience of, or representing to represent the interests of, of the Company or a subsidiary of the Company, Company as a director, officer, employee or other fiduciary agent of a another foreign or domestic corporation, partnership, joint venture, trust or other enterprise.

Agent. For purposes of this Agreement, the term “agent” of the Company means any person who: (i) is or was a director, officer, employee or other fiduciary of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, the Company or a subsidiary of the Company, as a director, officer, employee or other fiduciary of a foreign or domestic corporation, limited liability company, partnership, joint venture, trust or other enterprise.

Agent. For purposes of this Agreement, the term “agent” Agent" means a director or executive officer of the Company means any person who: (i) is or was a director, officer, employee or other fiduciary of the Company Corporation or a subsidiary director or executive officer of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, the Company or a subsidiary of the Company, as a director, officer, employee or other fiduciary of a another foreign or domestic corporation, partnership, joint venture, trust or other enterpriseenterprise serving at the request, for the convenience, or to represent the interests of the Corporation.

Agent. For purposes of this Agreement, the term “agent” of the Company means any person who: (i) is or was a director, officer, employee or other fiduciary of the Company Company, the Parent or a subsidiary another affiliate of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, the Company Company, the Parent or a subsidiary another affiliate of the Company, as a director, officer, employee or other fiduciary of a foreign or domestic corporation, partnership, joint venture, trust or other enterprise.

Agent. For purposes of this Agreement, the term “agent” of the Company means any person who: (i) is or was a director, officer, employee or other fiduciary director and/or officer of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or of, for the convenience of, or representing to represent the interests of, interest of the Company or a subsidiary of the Company, Company as a director, officer, employee or other fiduciary director and/or officer of a another foreign or domestic corporation, partnership, partnership or joint venture, trust or other enterprise.

Agent. For purposes of this Agreement, the term “agent” Agent" means a director or executive officer of the Company means any person who: (i) is ----- Corporation or was a director, officer, employee employee, agent or other fiduciary of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, the Company or a subsidiary of the Company, as a director, officer, employee or other fiduciary of a another foreign or domestic corporation, partnership, joint venture, trust or other enterpriseenterprise serving at the request, for the convenience, or to represent the interests of the Corporation.

Agent. For purposes of this Agreement, the term “agent” Agent" means a director or executive officer of the Company means any person who: (i) is or was a director, officer, employee or other fiduciary of the Company ----- Corporation or a subsidiary director or executive officer of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, the Company or a subsidiary of the Company, as a director, officer, employee or other fiduciary of a another foreign or domestic corporation, partnership, joint venture, trust or other enterpriseenterprise serving at the request, for the convenience, or to represent the interests of the Corporation.

For the purposes of this Agreement, the term “agent” of the Company means any person who: (i) who is or was a director, officer, employee employee, agent, or other fiduciary consultant of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, of the Company or a subsidiary of the Company, Company as a director, officer, employee employee, agent, or other fiduciary consultant of a another foreign or domestic corporation, partnership, joint venture, trust trust, or other enterprise or an affiliate of the Company. The term “enterprise” includes any employee benefit plan of the Company, its subsidiaries, affiliates, and predecessor corporations.

Agent. For purposes of this Agreement, the term “agent” of the Company Agent" means any person who: (i) who is or was a director, officer, employee or other fiduciary of the Company or a subsidiary Agent of the Company; or (ii) is or was serving at the request or of, for the convenience of, or representing to represent the interests of, the Company or a subsidiary of the Company, as a director, officer, employee or other fiduciary Agent of another entity or enterprise; or was a director, officer, employee or Agent of a foreign predecessor corporation of the Company (including, without limitation, NextCard, Inc., a California corporation), or domestic was a director, officer, employee or Agent of another enterprise at the request of, for the convenience of, or to represent the interests of such predecessor corporation, partnership, joint venture, trust or other enterprise.

Agent. For the purposes of this Agreement, the term “agent” of the Company means any person who: (i) who is or was a director, officer, employee or other fiduciary agent of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or of, for the convenience of, of or representing to represent the interests of, the interest of Company or a subsidiary of the Company, Company as a director, officer, employee or other fiduciary agent of a another foreign or domestic corporation, partnership, joint venture, trust or other enterprise.

Agent. For purposes of this Agreement, the term “agent” of the Company means any person who: (i) is or was a director, officer, employee or other fiduciary of the 1. Company, a subsidiary of the Company or an employee benefit plan of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, the Company or a subsidiary of the Company, as a director, officer, employee or other fiduciary of a foreign or domestic corporation, partnership, joint venture, trust or other enterprise.

Agent. For purposes of this Agreement, the term “agent” of the Company means any person who: (i) who is or was a director, officer, employee or other fiduciary agent of the Company, a subsidiary of the Company or the Company’s Charitable Trust or is or was a director, officer, employee or agent of a foreign or domestic corporation which was a predecessor corporation of the Company or a subsidiary of the Company; , or (ii) is or was serving at the request or for the convenience of, or representing the interests of, of the Company or a subsidiary of the Company, as a director, officer, employee or other fiduciary agent of a foreign or domestic another corporation, partnership, joint venture, trust or other enterprise.

Agent. For the purposes of this Agreement, the term “"agent” " of the Company means any person who: (i) who is or was a director, officer, employee director or other fiduciary officer of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or of, for the convenience of, or representing to represent the interests of, interest of the Company or a subsidiary of the Company, Company as a director, officer, employee director or other fiduciary officer of a another foreign or domestic corporation, partnership, joint venture, trust or other enterprise or an affiliate of the Company; or was a director or officer of a foreign or domestic corporation which was a predecessor corporation of the Company. The term "enterprise" includes any employee benefit plan of the Company, its subsidiaries, affiliates and predecessor corporations.

Agent. For purposes of this Agreement, the term “agent” of the Company means any person who: (i) is or was a director, officer, employee employee, or other fiduciary of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, the Company or a subsidiary of the Company, as a director, officer, employee employee, or other fiduciary of a foreign or domestic corporation, partnership, joint venture, trust or other enterprise.

Agent. For the purposes of this Agreement, the term “agent” of the Company means any person who: (i) who is the legal representative, is or was a director, officer, officer or employee or other fiduciary of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, of the Company or a subsidiary of the Company, as a director, officer, officer or employee of another corporation or other fiduciary of a foreign or domestic corporation, partnership, joint venture, trust or other enterprise, including service with respect to employee benefit plans.

Agent. For purposes of this Agreement, the term “agent” of the Company means any person who: (i) is or was a director, officer, employee or other fiduciary of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, the Company or a subsidiary of the Company, as a director, officer, employee or other fiduciary of a foreign or domestic corporation, partnership, joint venture, trust or other enterprise.. ​

The term "enterprise" includes any employee benefit plan of the Company, its subsidiaries, affiliates, and predecessor corporations.

Agent. For purposes of this Agreement, the term “agent” of the Company Agent" means any person who: (i) who is or was a director, ----- officer, fiduciary employee or other agent of the Company; or is or was serving at the request of, for the convenience of, or to represent the interests of, the Company as a director, officer, employee or agent of another entity or enterprise; or was a director, officer, employee or other fiduciary agent of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, the Company or a subsidiary predecessor corporation of the Company, as or was a director, officer, employee or other fiduciary Agent of a foreign another enterprise at the request of, for the convenience of, or domestic to represent the interests of such predecessor corporation, partnership, joint venture, trust or other enterprise.

Agent. For purposes of this Agreement, the term “"agent” " of the Company means any person who: (i) is or was a director, officer, employee or other fiduciary of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, the Company or a subsidiary of the Company, as a director, officer, employee or other fiduciary of a foreign or domestic corporation, partnership, joint venture, trust trust, or other enterprise.

For purposes of this Agreement, the term “agent” of the Company means any person who: (i) is or was a director, officer, employee or other fiduciary of the Company, a subsidiary of the Company or a subsidiary an employee benefit plan of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, the Company or a subsidiary of the Company, as a director, officer, employee or other fiduciary of a foreign or domestic corporation, partnership, joint venture, trust or other enterprise.

Agent. For the purposes of this Agreement, the term “agent” of the Company means any person who: (i) who is or was a director, officer, employee director or other fiduciary an officer of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, of the Company or a subsidiary of the Company, Company as a director, officer, employee director or other fiduciary an officer of a another foreign or domestic corporation, partnership, limited liability company, joint venture, trust trust, or other enterprise or an affiliate of the Company. The term “enterprise” includes any employee benefit plan of the Company, its subsidiaries, affiliates, and predecessor entities.

Agent. For the purposes of this Agreement, the term “"agent” " of the Company means any person who: (i) who is or was a director, officer, employee director or other fiduciary officer of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or of, for the convenience of, or representing to represent the interests of, interest of the Company or a subsidiary of the Company, Company as a director, officer, employee director or other fiduciary officer of a another foreign or domestic corporation, partnership, joint venture, trust or other enterprise or an affiliate of the Company. The term "enterprise" includes any employee benefit plan of the Company, its subsidiaries, affiliates and predecessor corporations.

Agent. For the purposes of this Agreement, the term “agent” of the Company means any person who: (i) , at the request of the Company, is or was a director, officer, officer or employee or other fiduciary of the Company or a subsidiary of the Company; or (ii) Company for as long as the person is or was serving at subject to Section 16 of the request or for the convenience ofSecurities Exchange Act of 1934, as amended, or representing the interests of, the Company or a subsidiary of subject to the Company, as a director, officer, employee or other fiduciary of a foreign or domestic corporation, partnership, joint venture, trust or other enterprise’s trading window without being subject to Section 16.

Agent. For purposes of this Agreement, the term “agent” of the Company means any person who: (i) is or was a director, officer, employee or other fiduciary of the Company or a subsidiary of the Company; or (ii) is or was serving at the request or for the convenience of, or representing the interests of, the Company or a subsidiary of the Company, as a director, officer, employee or other fiduciary of a foreign or domestic corporation, partnership, joint venture, trust or other enterprise.. Agent.
