Agents of ACS. To the extent agents of ACS perform services under this Agreement that are the responsibility of ACS, ACS shall be responsible for, and assume all liability for (including any obligation for indemnification as provided in Section 4.02 hereof, as applicable), the actions and inaction of such agents as if such services had been provided by ACS.
