Common use of Agents to Act for Trustee Clause in Contracts

Agents to Act for Trustee. The Agents shall, on notice in writing by the Trustee made at any time after an Event of Default or Potential Event of Default has occurred in relation to a particular Series and until notified in writing by the Trustee to the contrary, so far as permitted by any applicable law: 2.5.1 act as Agents of the Trustee under the Trust Deed and the Notes of such Series on the terms of this Agreement (with consequential amendments as necessary and except that the Trustee’s liability under this Agreement for the indemnification, remuneration and all other expenses of the Agents will be limited to the amounts for the time being held by the Trustee in respect of such Series on the terms of the Trust Deed) and thereafter to hold all Notes, Certificates, Coupons and Talons of such Series and all moneys, documents and records held by them in respect of Notes, Certificates, Coupons and Talons of such Series to the order of the Trustee or 2.5.2 deliver all Notes, Coupons and Talons of such Series and all moneys, documents and records held by them in respect of the Notes, Coupons and Talons of such Series to the Trustee or as the Trustee directs in such notice.

The Agents shall, on notice in writing by the Trustee made at any time after an Event of Default or Potential Event of Default has occurred in relation to a particular Series and until notified in writing by the Trustee to the contrary, so far as permitted by any applicable law: 2.5.1 2.4.1 act as Agents of the Trustee under the Trust Deed and the Notes of such Series on the terms of this Agreement (with consequential amendments as necessary and except that the Trustee’s liability under this Agreement for the indemnification, remuneration and all other expenses of the Agents will be limited to the amounts for the time being held by the Trustee in respect of such Series on the terms of the Trust Deed) and thereafter to hold all Notes, Certificates, Coupons and Talons of such Series and all moneys, documents and records held by them in respect of Notes, Certificates, Coupons and Talons of such Series to the order of the Trustee Trustee; or 2.5.2 2.4.2 deliver all Notes, Coupons and Talons of such Series and all moneys, documents and records held by them in respect of the Notes, Coupons and Talons of such Series to the Trustee or as the Trustee directs in such notice.

Agents to Act for Trustee. The Agents shall, on notice in writing by the Trustee to the relevant Issuer and the Agents made at any time after an Event of Default or Potential Event of Default as defined in the Conditions has occurred in relation to a particular Series and until notified in writing by the Trustee to the contrary, so far as permitted by any applicable law: 2.5.1 2.7.1 act as Agents of the Trustee under the Trust Deed and the Notes of such Series on the terms of this Agreement (with consequential amendments as necessary and except that the Trustee’s liability under this Agreement for the indemnification, remuneration and all other expenses of the Agents will be limited to the amounts for the time being held by the Trustee in respect of such Series on the terms of the Trust Deed) and thereafter to hold all Notes, Certificates, Coupons and Talons of such Series and all moneys, documents and records held by them in respect of Notes, Certificates, Coupons and Talons of such Series to the order of the Trustee Trustee; or 2.5.2 2.7.2 deliver all Notes, Certificates, Coupons and Talons of such Series and all moneys, documents and records held by them in respect of the Notes, Certificates, Coupons and Talons of such Series to the Trustee or as the Trustee directs in such notice.

Agents to Act for Trustee. The Agents shall, on notice in writing by the Trustee made at any time after an Event of Default or Potential Event of Default has occurred in relation to a particular Series and until notified in writing by the Trustee to the contrary, so far as permitted by any applicable law: 2.5.1 2.6.1 act as Agents of the Trustee under the Trust Deed and the Notes Instruments of such Series on the terms of this Agreement (with consequential amendments as necessary and except that the Trustee’s liability under this Agreement for the indemnification, remuneration and all other expenses of the Agents will be limited to the amounts for the time being held by the Trustee in respect of such Series on the terms of the Trust Deed) and thereafter to hold all NotesInstruments, Certificates, Coupons and Talons of such Series and all moneys, documents and records held by them in respect of Notes, CertificatesInstruments, Coupons and Talons of such Series to the order of the Trustee Trustee; or 2.5.2 2.6.2 deliver all NotesInstruments, Coupons and Talons of such Series and all moneys, documents and records held by them in respect of the NotesInstruments, Coupons and Talons of such Series to the Trustee or as the Trustee directs in such notice.

Agents to Act for Trustee. The Agents shall, on notice in writing by the Trustee made at any time after an Event of Default or a Potential Event of Default has occurred in relation to a particular Series and until notified in writing by the Trustee to the contrary, so far as permitted by any applicable law: 2.5.1 act as Agents of the Trustee under the Trust Deed and the Notes of such Series on the terms of this Agreement (with consequential amendments as necessary and except that the Trustee’s liability under this Agreement for the indemnification, remuneration and all other expenses of the Agents will be limited to the amounts for the time being held by the Trustee in respect of such Series on the terms of the Trust Deed) and thereafter to hold all Notes, Certificates, Coupons and Talons of such Series and all moneys, documents and records held by them in respect of Notes, Certificates, Coupons and Talons of such Series to the order of the Trustee or 2.5.2 deliver all Notes, Coupons and Talons of such Series and all moneys, documents and records held by them in respect of the Notes, Coupons and Talons of such Series to the Trustee or as the Trustee directs in such notice.

Agents to Act for Trustee. The Agents shall, on notice in writing by the Trustee made at any time after an Event of Default or a Potential Event of Default has occurred in relation to a particular Series and until notified in writing by the Trustee to the contrary, so far as permitted by any applicable law: 2.5.1 : act as Agents of the Trustee under the Trust Deed and the Notes of such Series on the terms of this Agency Agreement (with consequential amendments as necessary and except that the Trustee’s 's liability under this Agency Agreement for the indemnification, remuneration and all other expenses of the Agents will be limited to the amounts for the time being held by the Trustee in respect of such Series on the terms of the Trust Deed) and thereafter to hold all Notes, Certificates, Certificates Coupons and Talons of such Series and all moneys, documents and records held by them in respect of Notes, Certificates, Coupons and Talons of such Series to the order of the Trustee or 2.5.2 Trustee; or deliver all Notes, Certificates, Coupons and Talons of such Series and all moneys, documents and records held by them in respect of the Notes, Coupons and Talons of such Series to the Trustee or as the Trustee directs in such noticenotice save for documents required to be retained by the Agents by law or regulation.

Agents to Act for Trustee. The Agents shall, on notice in writing by the Trustee made at any time after an Event of Default or a Potential Event of Default has occurred in relation to a particular Series and until notified in writing by the Trustee to the contrary, so far as permitted by any applicable law: 2.5.1 act as Agents of the Trustee under the Trust Deed and the Notes of such Series on the terms of this Agreement (with consequential amendments as necessary and except that the Trustee’s liability under this Agreement for the indemnification, remuneration and all other expenses of the Agents will be limited to the amounts for the time being held by the Trustee in respect of such Series on the terms of the Trust DeedDeed and available for such purpose) and thereafter to hold all Notes, Certificates, Coupons and Talons of such Series and all moneys, documents and records held by them in respect of Notes, Certificates, Coupons and Talons of such Series to the order of the Trustee orTrustee; and/or 2.5.2 deliver all Notes, Coupons and Talons of such Series and all moneys, documents and records held by them in respect of the Notes, Coupons and Talons of such Series to the Trustee or as the Trustee directs in such noticenotice provided that the Agents shall not be obliged to deliver any moneys, documents or records as aforesaid which they are obliged not to deliver by any law or regulation.

Agents to Act for Trustee. The Agents and the Custodian shall, on notice demand in writing by the Trustee made at any time after an Event of Default or Potential Event of Default has occurred in relation to a particular Series and is continuing and until notified in writing by the Trustee to the contrary, so far as permitted by any applicable law: 2.5.1 4.1.1 act as Agents of the Trustee under the Trust Deed and the Notes of such Series on the terms of this Agreement (with consequential amendments as necessary and except that the Trustee’s liability under this Agreement for the indemnification, remuneration and all other expenses of the Agents will be limited to the amounts for the time being held by the Trustee in respect of such Series the Notes on the terms of the Trust DeedDeed and available for the purpose) and thereafter to hold all Notes, Certificates, Coupons and Talons of such Series Notes and all moneys, documents and records held by them in respect of Notes, Certificates, Coupons and Talons of such Series Notes to the order of the Trustee orTrustee; 2.5.2 4.1.2 deliver all Notes, Coupons and Talons of such Series Notes and all moneys, documents and records held by them in respect of the Notes, Coupons and Talons of such Series Notes to the Trustee or as the Trustee directs in such noticenotice or subsequently, provided that this Clause 4.1.2 shall not apply to any document or record which the Agent is obliged not to release by any applicable law or regulation; and/or 4.1.3 with respect to the Custodian, act solely upon instructions of the Trustee to hold, transfer, dispose or otherwise deal with the Exchange Property in accordance with the Conditions and the Trust Deed.
