Common use of Agents to Act for Trustee Clause in Contracts

Agents to Act for Trustee. At any time after any Relevant Event (as defined in the Principal Trust Deed), Event of Default or Default occurs in relation to a particular Series, the Trustee may by notice to the Issuer (with a copy to Alfa-Bank) and the Agents (or such of them as are specified by the Trustee), require each Agent to: 7.5.1 act thereafter, until otherwise instructed by the Trustee, as the agents of the Trustee under the Trust Deed mutatis mutandis on the terms of this Agreement (save that the Trustee’s liability for the indemnification, remuneration and payment of out-of-pocket expenses of any of the Agents shall be limited to the amounts for the time being held by the Trustee in respect of the relevant Series on the trusts of the Trust Deed and available to the Trustee for such purpose) and thereafter to hold all Global Notes and all Definitive Notes (if any) of such Series and all sums, documents and records held by them in respect of the Notes for such Series on behalf of the Trustee; and/or 7.5.2 deliver up all Global Notes and Definitive Notes (if any) of such Series and all sums, documents and records held by them in respect of the Notes for all the relevant Series to the Trustee or as the Trustee shall direct in such notice; provided that such notice shall not be deemed to apply to any documents or records which any Agent is obliged not to release by any law or regulation.

At any time after any Relevant Event has occurred or an Event of Default (as defined in the Principal Trust Deed)Loan Agreement) has occurred and is continuing, Event of Default or Default occurs in relation to a particular Serieseach Agent shall, if so required by notice given by the Trustee may by notice to the Issuer (with a copy to Alfa-BankNN) and the Agents (or such of them as are specified by the Trustee), require each Agent to:): 7.5.1 9.7.1 act thereafter, until otherwise instructed by the Trustee, as the agents agent of the Trustee in relation to payments and calculations to be made by or on behalf of the Trustee under the Trust Deed mutatis mutandis on the terms of this Agreement (save that the Trustee’s liability for the indemnification, remuneration and payment of out-of-of- pocket expenses of any of the Agents shall be limited to the amounts for the time being held by the Trustee in respect of the relevant Series on the trusts of the Trust Deed and available to the Trustee for such purpose) and thereafter to hold all Global Notes Certificates and all Definitive Notes Certificates (if any) of such Series and all sums, documents and records held by them in respect of the Notes for such Series on behalf of the Trustee; and/or 7.5.2 9.7.2 deliver up all Global Notes and Definitive Notes (if any) of such Series Certificates and all sums, documents and records held by them in respect of the Notes for all the relevant Series to the Trustee or as the Trustee shall direct in such notice; provided provided, however, that such notice shall not be deemed not to apply to any documents or records which any Agent is obliged not to release by any law or regulation.

At any time after any a Relevant Event (as defined in the Principal Trust Deed), Event of Default or Default occurs in relation to a particular Series) shall have occurred, the Trustee may by notice to the Issuer (with a copy to Alfa-Bank) Issuer, RZD, the Agents and the Agents Account Bank (or such of them as are specified by the Trustee), ) require each Agent and the Account Bank (so notified) to: 7.5.1 6.5.1 act thereafter, until otherwise instructed by the Trustee, as the agents agent of the Trustee under the Trust Deed and the Notes mutatis mutandis on the terms of this Agreement and (in the case of the Account Bank) the Account Bank Agreement (save that the Trustee’s liability for the indemnification, remuneration and payment of out-of-pocket expenses of any of the such Agents shall be limited to the amounts for the time being held by the Trustee in respect of the relevant Series on the trusts of the Trust Deed and available to the Trustee for such purpose) and thereafter to hold all the Global Notes Certificate and all Definitive Notes Certificates (if any) of such Series and all sums, documents and records held by them in respect of the Notes for such Series Global Certificate and Definitive Certificates (if any) on behalf of the Trustee or to the order of the Trustee; and/or 7.5.2 6.5.2 deliver up all the Global Notes Certificate and Definitive Notes Certificates (if any) of such Series and all sums, documents and records held by them in respect of the Notes for all the relevant Series Global Certificate and Definitive Certificates (if any) to the Trustee or as the Trustee shall direct in such notice; , provided that such notice shall not be deemed to apply to any documents or records which any Agent is obliged not to release by any law or regulation.
