Agents to Act for Trustee. ‌ 11.1 Actions of Agents after Notice by Trustee of an Event of Default‌ At any time after an Event of Default (or any condition, event or act which, with the giving of notice and/or the lapse of time and/or the issue of a certificate, would constitute an Event of Default) in respect of the Notes and/or the Residual Certificates shall have occurred (which shall not have been waived by the Trustee or remedied to its satisfaction) or at any time after Definitive Notes and/or Definitive Residual Certificates have not been issued when so required in accordance with the provisions of the Trust Deed, the Paying Agents, the Reference Agent and the Registrar shall, if so required by notice in writing given by the Trustee to the Issuer and the Agents (or such of them as are specified in such notice): 11.1.1 act thereafter, and until otherwise instructed by the Trustee, as the Agents of the Trustee on the terms mutatis mutandis provided in this Agreement (with consequential amendments as necessary and save that the Trustee's liability under any provision in this Agreement contained for the remuneration indemnification and payment of out-of pocket expenses of such Agents shall be limited to the amount for the time being held by the Trustee on the trusts of the Trust Deed which is available to be applied by the Trustee for such purpose) and thereafter hold all Notes and Residual Certificates and all sums, documents and records held by them in their respective capacities in respect of the Notes and Residual Certificates on behalf of the Trustee; and/or 11.1.2 deliver up all Notes and all sums, documents and records held by them in respect of the Notes and Residual Certificates to the Trustee or as the Trustee shall direct in such notice, provided that such notice shall be deemed not to apply to any document or record which any Agent is obliged not to release by any applicable law or regulation.

Agents to Act for Trustee. ‌ 11.1 Actions of Agents after Notice by Trustee of an Event of Default‌ At any time after a Default or an Event of Default (or any condition, event or act which, with the giving of notice and/or the lapse of time and/or the issue of a certificate, would constitute an Event of Default) in respect of the Notes and/or the Residual Certificates shall have occurred (which and shall not be continuing or the Notes shall otherwise have been waived by become due and repayable or the Trustee or remedied shall have received any money which it proposes to its satisfaction) or at any time after Definitive Notes and/or Definitive Residual Certificates have not been issued when so required in accordance with the provisions pay under Section 6.10 of the Trust DeedIndenture to the Holders, the Trustee may by notice in writing to the Issuer, the Principal Paying Agent, the other Paying Agents, the Reference Agent Registrar and the Transfer Agents, require the Principal Paying Agent, the other Paying Agents, the Registrar shall, if so required by notice in writing given by the Trustee to the Issuer and the Transfer Agents (or such of them as are specified in such notice):by the Trustee) pursuant to this Agreement: 11.1.1 (a) to act thereafter, and until otherwise instructed by the Trustee, as the Agents Principal Paying Agent, Paying Agent and, where applicable, Registrar and Transfer Agent, respectively, of the Trustee in relation to payments and calculations to be made by or on behalf of the Trustee under the provisions of the Indenture mutatis mutandis on the terms mutatis mutandis provided in this Agreement (with consequential amendments as necessary and save that the Trustee's liability under any provision in this Agreement contained provisions thereof for the remuneration indemnification and payment of out-of of-pocket expenses of such the Principal Paying Agent, the other Paying Agents, the Registrar and the Transfer Agents shall be limited to the amount amounts for the time being held by the Trustee on the trusts of the Trust Deed which is Indenture relating to the Notes and available to be applied by the Trustee for such purpose) and thereafter to hold all Notes and Residual Certificates and all sums, documents and records held by them in their respective capacities in respect of the Notes and Residual Certificates on behalf of the Trustee; and/or 11.1.2 (b) to deliver up all Notes and all sums, documents and records held by them in respect of the Notes and Residual Certificates to the Trustee or as the Trustee shall direct in such notice, notice provided that such notice shall be deemed not to apply to any document documents or record records which any the relevant Agent is obliged not to release by any applicable law or regulation.
