Common use of Agreement and Term Clause in Contracts

Agreement and Term. The Company hereby employs the Employee, and the Employee hereby accepts such employment and agrees to render services to the Company in accordance with the terms and conditions set forth in this Agreement. The term of this Agreement shall commence effective June 26, 2003, and shall remain in full force and effect for a period three (3) years thereafter unless terminated prior thereto by either the Company or the Employee as provided herein, and thereafter shall automatically renew for successive one-year terms unless terminated prior thereto by either the Company or the Employee as provided herein. If either the Company or the Employee does not wish to renew this Agreement when it expires at the end of the initial or any renewal term as provided herein or if either the Company or the Employee wish to renew this Agreement on terms different from those contained herein, the Company or the Employee shall give written notice in accordance with Section 9. 3 of such intent to the other party at least 30 days prior to the expiration of the initial term or any renewal term. In the absence of such notice, this Agreement shall be automatically renewed on the same terms and conditions contained herein for a term of one year from the date of expiration of the initial term or renewal term. The parties expressly agree that designation of a term and renewal provisions in this Agreement does not in any way limit the right of the parties to terminate this Agreement at any time as provided herein. Reference herein to the term of this Agreement shall refer both to the initial term or any renewal term, as the context requires.

The term of this Agreement shall commence effective June 26on any date after MAY 19, 2003, and shall remain in full force and effect continue from that date for a period three one (31) years thereafter year unless terminated prior thereto by either the Company Corporation or the Employee as provided herein, and thereafter shall automatically renew for successive one-year terms unless terminated prior thereto by either the Company Corporation or the Employee as provided herein. If either the Company Corporation or the Employee does not wish to renew this Agreement when it expires at the end of the initial or any renewal term hereof as provided herein or if either the Company Corporation or the Employee wish wishes to renew this Agreement on different terms different from than those contained herein, the Company Corporation or the Employee shall give written notice in accordance with Section 9. 3 SECTION 9.2 of such intent to the other party at least 30 days prior to the expiration of the initial term or any renewal termdate. In the absence of such notice, this Agreement shall be automatically renewed on the same terms and conditions contained herein for a term of one year from the date of expiration of the initial term or renewal termexpiration.
