Agreement Documents. This Agreement consists of this document and the following documents, all of which are attached hereto and incorporated herein by reference: Exhibit A: Project Description and Budget Exhibit B: Federal Requirements and Certifications Exhibit C: Subcontractor Insurance Exhibit D: Information required by 2 CFR 200.331(a) In the event of a conflict between two or more of the documents comprising this Agreement, the language in the document with the highest precedence shall control. The precedence of each of the documents comprising this Agreement is as follows, listed from highest precedence to lowest precedence: Exhibit B; this Agreement without Exhibits; Exhibit A; Exhibit C.
Agreement Documents. All data used by the City to compute the cost of, or otherwise govern the design and installation of, the Improvements is hereby made a part of this Agreement, and is incorporated herein by this reference as part of Exhibit B.

Notwithstanding the foregoing, in relation to the Software License Agreement (Attachment D) shall be as provided in the respective agreement. This Agreement and the Exhibits set forth above, contain all of the agreements, representations and understandings of the Parties hereto, and supersede and replace any previous understandings, commitments, or agreements, whether oral or written as to those matters contained herein. No prior oral or written understanding shall be of any force or effect with respect to those matters covered hereunder, except as otherwise specifically and expressly authorized in this Agreement. This Agreement may be modified only by a written amendment duly executed by the Parties to this Agreement.
Agreement Documents. The Agreement Documents are hereby adopted, incorporated by reference, and made part of this Agreement. The intention of the Agreement Documents is to establish the necessary terms, conditions, labor, materials, equipment, and other items necessary for the proper execution and completion of the Work to ensure the intended results. Agreement Documents. This AGREEMENT, including its attachments and schedules, constitutes the entire AGREEMENT, which supersedes all prior written or oral understandings, and may only be changed by a written amendment executed by both parties. This AGREEMENT may be executed in one or more counterparts and each counterpart shall, for all purposes, be deemed an original, but all such counterparts shall together constitute but one and the same instrument. The following attachments and schedules are hereby made a part of this AGREEMENT: Attachment A - Scope of Services Attachment B – Compensation Attachment C – Changes and Amendments to Standard Agreement Attachment D – Project Schedule Attachment E – Project Location Map These documents make up the AGREEMENT documents and what is called for by one shall be as binding as if called for by all. In the event of an inconsistency or conflict in any of the provisions of the AGREEMENT documents, the inconsistency or conflict shall be resolved by giving precedence first to the written AGREEMENT then to the AGREEMENT documents in the order in which they are listed above.
